Do not proceed until you fully understand and accept this agreement. If you have questions about these terms, contact our service staff for an explanation. If you do not agree with any part of this agreement or cannot fully understand the explanation of the terms, do not proceed.
This agreement is a valid and binding contract between you and Alibaba Cloud Computing Co., Ltd. (Alibaba Cloud).
You and Alibaba Cloud have already signed a product service agreement. To allow end users to use the Alibaba Cloud public client or an Alibaba Cloud partner client to attach to the smart devices that you produce, manufacture, and/or sell (hereinafter "devices"), you grant authorization to Alibaba Cloud and its partners. This authorization allows Alibaba Cloud or its partners to use the devices to provide personalized value-added services to end users.
- Authorization content
- You understand and agree that your authorization under this agreement allows end users to attach to the devices using the Alibaba Cloud public client or an Alibaba Cloud partner client. This enables end users to control and manage the smart devices through the Alibaba Cloud client or the partner's client.
- You agree not to unilaterally suspend or terminate this authorization without written consent from Alibaba Cloud. You understand that Alibaba Cloud's interconnectivity services may be suspended or terminated due to business adjustments. If this occurs, Alibaba Cloud will inform you using the notification methods specified in this agreement.
- You agree to configure the devices according to the standard properties provided by Alibaba Cloud. If you have problems with the standard property configuration, contact Alibaba Cloud customer service for technical support.
- Data rights
- You agree to authorize Alibaba Cloud and its partners to access data generated from the end users' use of the smart devices, along with device-related information. Alibaba Cloud and its partners will use this data only as necessary to provide services to end users. Alibaba Cloud will not disclose the data to any third party without your authorization. In addition, Alibaba Cloud and its partners will clearly state the scope of data transformation, analysis, and use to end users and obtain their consent.
- You understand and agree that Alibaba Cloud's partners have established partnerships with Alibaba Cloud by signing service agreements. These service agreements require partners to protect the personal information of end users in compliance with the Cybersecurity Law of the People's Republic of China and other relevant laws and regulations.
- The list of Alibaba Cloud partners is available through a link on the webpage and is updated from time to time. You agree that your authorization remains valid for any new partners added after these Terms of Service take effect.
- Notifications
- You understand and agree that Alibaba Cloud may, at its discretion, send you notifications through webpage announcements, email, text messages, or regular mail. Alibaba Cloud will rely on the contact information you provide as being complete, accurate, and current. A notification is considered delivered on the day it is sent.
- Unless otherwise specified in these Terms of Service or in a separate agreement between you and Alibaba Cloud, you must send all notifications to Alibaba Cloud using its officially published contact information, which includes communication addresses, fax numbers, and email addresses.
- Governing law and jurisdiction
- The validity, interpretation, modification, execution, and dispute resolution of these Terms of Service are governed by the laws of the People's Republic of China. Any dispute arising from these Terms of Service will be submitted to the exclusive jurisdiction of the People's Court of Xihu District, Hangzhou, Zhejiang Province.
