This Agreement is signed in Yuhang District, Hangzhou, between you and Alibaba Cloud Computing Ltd. (Alibaba Cloud).
I. Definitions
1.1 Intellectual Property: Patents, patent applications, trademarks, copyrights, and other legally protected intangible assets.
1.2 Affiliate: An entity that directly or indirectly controls, is controlled by, or is under common control with a party. "Control" means the direct or indirect ownership of more than fifty percent (50%) of the voting rights or other ownership interests in an entity, or the power to direct or control the entity, whether through voting rights, agreements, or other means.
1.3 Intelligent Speech Interaction Service: The speech recognition, speech synthesis, and other related services that Alibaba Cloud provides to customers.
1.4 Business Data: The raw data that you process using the Intelligent Speech Interaction service for recognition, synthesis, or other purposes.
1.5 This Service: The trial version of the Intelligent Speech Interaction service.
1.6 Alibaba Cloud Website: The official website of Alibaba Cloud.
II. Warranties and representations
2.1 You represent that you are the end user of this Service. If you are an agent obtaining this Service for a third party, you must confirm that you have obtained full authorization from the end user to accept and agree to all terms of this Agreement.
2.2 You represent that the Business Data you process using this Service is obtained legally and that you have full authorization to use it.
2.3 You agree not to use this Service for any activity that violates laws, regulations, or public order, nor to assist in such activities.
2.4 You agree to comply with all specifications and rules established and published by Alibaba Cloud on the Alibaba Cloud Website.
2.5 You agree that any output or result obtained from using the speech synthesis feature of this Service, including but not limited to audio files, is for your personal use only. You must not use it for any commercial purpose, nor may you disclose, provide, forward, or distribute it to any third party, either by yourself or through others, in any form or medium.
III. Service content
Alibaba Cloud provides this Service for you to integrate and call through a software development kit (SDK) or other specified forms. You can select specific features based on your business needs. For more information about available features, see the relevant pages on the Alibaba Cloud Website. The free trial period for this Service lasts until you upgrade to a paid version (the Trial Period). For more information about performance limitations during the Trial Period, see the descriptions on the relevant feature pages on the Alibaba Cloud Website.
IV. Service fees
During the Trial Period, Alibaba Cloud will not charge you any fees for using this Service.
V. Disclaimers
5.1 Alibaba Cloud reserves the right to change the content and/or delivery method of this Service, or to suspend or terminate this Service at any time due to business developments or changes in laws and regulations. You agree that Alibaba Cloud is not liable to you or any third party for any consequences resulting from such actions.
5.2 Except for the technical specifications explicitly stated on the relevant pages of the Alibaba Cloud Website, Alibaba Cloud makes no warranties regarding the performance, suitability for specific scenarios, or stability of this Service. You agree that Alibaba Cloud is not liable to you or any third party because this Service fails to meet your needs or because of your use of this Service.
5.3 Under no circumstances will Alibaba Cloud be liable for any indirect, consequential, punitive, incidental, or special damages arising from this Service, including but not limited to loss of profits, even if you have been advised of the possibility of such damages.
VI. Agreement effectiveness, term, and termination
6.1 The term of this Agreement is the same as the Trial Period. It becomes effective when you click to agree to it or when you start using this Service, whichever occurs first.
6.2 If you breach any term of this Agreement, Alibaba Cloud has the right to unilaterally terminate this Agreement at any time without any liability.
VII. Business data
7.1 You must ensure that your Business Data is obtained legally and that you have obtained sufficient and necessary authorization to use it. You must review your Business Data and its use to ensure compliance with all applicable laws, regulations, and national policies. You are solely responsible for all liabilities that arise from your Business Data and your use of it. You acknowledge and agree that Alibaba Cloud is not liable for any violation of these terms related to your Business Data or your use of it.
7.2 Using this Service, you agree to participate in Alibaba Cloud's Service Improvement Plan. During your use of this Service, you authorize Alibaba Cloud to collect and store your Business Data. You also authorize Alibaba Cloud to use this Business Data to improve and optimize the Alibaba Cloud Intelligent Speech Interaction service. Alibaba Cloud will use commercially reasonable efforts and technology that meets or exceeds industry standards to ensure the security of your Business Data. Alibaba Cloud will not transfer, share, or otherwise disclose your Business Data to any third party without your permission, except as required to comply with laws and regulations.
7.3 Your Business Data may contain personal information of third parties. Alibaba Cloud will not knowingly identify, extract, collect, or separately store any personal information that may be contained in your Business Data. Alibaba Cloud will also not associate or merge any personal information from your Business Data with other data held by Alibaba Cloud. Alibaba Cloud will only use Business Data that may contain personal information for the purpose of improving and optimizing the Intelligent Speech Interaction service.
VIII. Liability for breach
If either party breaches this Agreement, the non-breaching party has the right to claim compensation from the breaching party for actual losses incurred.
IX. Miscellaneous
9.1 This Agreement, together with the Alibaba Cloud Product and Service Agreement and all specifications and rules published or to be published on the Alibaba Cloud Website, constitutes the entire agreement between the parties and has equal legal effect. If there is a conflict between this Agreement and the Alibaba Cloud Product and Service Agreement or the aforementioned specifications and rules, the terms of this Agreement prevail.
9.2 No term of this Agreement shall be interpreted as an intention or agreement by either party to transfer or license its own intellectual property to the other party.
9.3 Alibaba Cloud has the right to transfer all or part of its rights and obligations under this Agreement to an Alibaba Cloud affiliate after providing you with prior notice.
9.4 This Agreement is governed by the laws of China. If a dispute arises between the parties in connection with this Agreement, the parties must attempt to resolve it through friendly negotiation. If negotiation fails, either party may file a lawsuit with the People's Court of Yuhang District, Hangzhou.
