Service Agreement

Updated at:

The Alibaba Cloud Products and Services Agreement is a valid contract between you and Alibaba Cloud Computing Co., Ltd. (hereinafter referred to as "Alibaba Cloud") regarding the services provided by Alibaba Cloud.

The Alibaba Cloud Products and Services Agreement may hereinafter be referred to as "this Service Agreement," "Service Agreement," or "this Agreement."

Before you accept this Agreement, you must read all its contents carefully. If you have questions about any clause, you can contact the relevant Alibaba Cloud business department or call customer service for clarification. Alibaba Cloud will explain the clause to you. If you cannot accurately understand Alibaba Cloud’s explanation or disagree with any part of this Service Agreement, do not proceed. Your actions, such as clicking to confirm on a web page, purchasing or using Alibaba Cloud products or services, or downloading, printing, and affixing your seal, indicate that you have read and fully understood this Agreement. These actions also indicate that you have reached a mutual agreement with Alibaba Cloud regarding the purchase of the relevant products or services and agree to be bound by all terms of this Service Agreement.

When you purchase Alibaba Cloud products or services, you must comply not only with this Agreement but also with the dedicated service terms (hereinafter referred to as "Dedicated Terms"), if applicable, product rules, if applicable, billing rules, and other related content for the specific products or services that you order. The Dedicated Terms form an integral part of this Agreement and carry the same legal effect. In the event of any inconsistency between this Agreement and the Dedicated Terms, the Dedicated Terms for the specific product or service shall prevail.

You must pay special attention to the following provisions in this Agreement: limitations of liability, disclaimers, determination and handling of violations or breaches, and choice of jurisdiction. These clauses may be highlighted in bold or underlined to draw your attention.

1. Products and/or Services

1.1 The "products and/or services" referenced in this Service Agreement refer to the products and services displayed on the official Alibaba Cloud website (www.aliyun.com) and the associated technical and network support services. The specific scope of services depends on your order.

2. Pricing and Fees

2.1 Alibaba Cloud displays service pricing on the relevant pages of www.aliyun.com or calculates the fees based on the specifications and configuration of the products or services that you select. You must pay the applicable fees according to the pricing system published on www.aliyun.com at the time you place your order.

2.2 You can top up your Alibaba Cloud account using Alipay, online banking, bank transfer, or other methods, and then place orders for specific products or services. You must maintain a sufficient account balance to ensure uninterrupted service. The payment methods and related rules are displayed on the Alibaba Cloud website.

2.3 Depending on the type of product or service that you order, you must complete the payment within the timeframe specified on the Alibaba Cloud website. Until you pay the full amount as agreed, Alibaba Cloud reserves the right to not provide the corresponding product or service, including technical support, terminate the product or service, including technical support, and charge a late payment penalty of 0.05% per day on the overdue amount. Alibaba Cloud can demand this penalty at any time after your payment becomes overdue.

2.3.1. Prepaid products and/or services:

2.3.1.1. For monthly subscription or resource plan (package) products and services, Alibaba Cloud delivers the service only after you pay the full amount.

2.3.1.2. You must complete the payment promptly after you submit your order. Failure to do so may result in order cancellation. (1) Orders that are unpaid for more than 7 days are automatically canceled. (2) Orders are automatically canceled if inventory becomes insufficient before payment. After an order is canceled, all agreements and actions related to the products, services, and pricing in the order become void.

2.3.1.3. To continue using a service after its term ends, you must pay the renewal fee at least 7 days before the expiration date.

2.3.2. Postpaid products and/or services:

If you purchase pay-as-you-go products or services, you can activate and use the service first. Alibaba Cloud automatically calculates your actual usage for the previous billing cycle, which can be hourly, daily, or monthly depending on the product, and deducts the corresponding fees from your Alibaba Cloud account balance. The specific billing and deduction rules are published on the Alibaba Cloud website.

2.4. Alibaba Cloud may periodically or occasionally run promotions or policies (collectively "Promotions"), such as offering free service credits, extended service periods, direct discounts, free vouchers, Double 11 special pricing, or referral code discounts when you meet certain purchase thresholds. You understand and agree to the following:

2.4.1. These Promotions are special offers that are separate from standard pricing. They do not cover modification, update, or maintenance fees for bonus services. Bonus services cannot be redeemed for cash or applied toward service fees.

2.4.2. Some Promotions require your commitment to a minimum service duration or usage volume. If you cancel the service without justification, Alibaba Cloud can reinstate standard pricing, charge a penalty or cancellation or refund fee, void the promotion, or require you to repay the value of any free vouchers that you used, as specified on the relevant webpage or order.

2.4.3. Unless explicitly stated otherwise for the product or service that you order, or unless you and Alibaba Cloud have a separate written agreement, multiple promotions cannot be combined.

2.4.4. You must keep Promotion details confidential. If Alibaba Cloud finds that you breached this confidentiality obligation, it can cancel the Promotion and decide whether to suspend or terminate your service.

2.5. You understand and acknowledge that Alibaba Cloud may offer free services through an invitational preview, public preview, or within a free quota. During the free period or within the free quota, no service fees apply. Alibaba Cloud reserves the right to charge fees in the future and will announce the new pricing policy at least 10 calendar days in advance through a website notice or internal message. If you continue to use the service after the announcement, you must pay according to the then-effective pricing policy.

3. Rights and Obligations

3.1. Your Rights and Obligations

3.1.1. Before you use any service, you must carefully read and comply with the service descriptions, technical specifications, usage procedures, and operational documentation published on the Alibaba Cloud website. You must fully understand the content and potential consequences. During service use, you must follow all operational guidelines. You bear full responsibility for any consequences that result from your failure to follow these guidelines. Alibaba Cloud assumes no liability. You must exercise caution and manage your own risks. You bear all losses and consequences that result from improper maintenance or disclosure of this data or these credentials.

3.1.5. If your activities that use Alibaba Cloud products or services require government permits or approvals, you must obtain them promptly. This includes, but is not limited to, the following:

(1) Ensuring that all websites you operate have the necessary government permits or approvals.

(2) Completing the ICP filing for non-commercial Internet information services and ensuring that all submitted filing information is true and valid. You must update the filing system immediately when information changes.

(3) Obtaining a commercial website license from your local communications authority if you provide commercial Internet information services.

(4) Securing a Network Culture Operation License if you operate an online gaming website.

(6) Obtaining prior approval from relevant authorities before you apply for licenses or complete filings if you provide Internet information services related to news, publishing, education, healthcare, pharmaceuticals, or medical devices, as required by law, administrative regulations, or national provisions.

You understand that this list is not exhaustive. You must comply with all applicable national and local laws and regulations when you conduct any activity.

3.1.6. You further commit not to engage in the following activities:

3.1.6.1. You may not use Alibaba Cloud products or services to distribute spam, unsolicited advertisements, or emails that contain harmful content, such as inflammatory or pornographic content.

3.1.6.2. You will not use Alibaba Cloud services as a virtual server, an illegal proxy server, or a mail server.

3.1.6.3. You will not use Alibaba Cloud products or services to provide commercial services, such as DDoS protection or DNS protection.

3.1.6.4. Engaging in any activity that harms the legitimate rights and interests of Alibaba Cloud or its affiliates, including but not limited to companies under Alibaba Group such as Taobao and Alimama, and Alibaba Group affiliates such as Alipay. Such harmful activities include, but are not limited to, violating published service agreements or terms, management rules, or transaction policies of these companies, or undermining or attempting to undermine Alibaba’s fair trading environment or normal transaction order.

3.1.6.5. Using Alibaba Cloud resources and services to upload, download, store, publish, or facilitate the publication, for example, using URL or banner links, of the following content:

(1) Political propaganda or news information that violates national regulations.

(2) Information that involves state secrets or national security.

(3) Content that promotes feudal superstition, obscenity, pornography, or vulgarity, or incites criminal activity.

(4) Illegal online publishing activities such as lottery promotions, gambling games, private servers, or cheating tools.

(5) Content that violates national ethnic or religious policies.

(6) Information that compromises Internet operational security.

(7) Content that infringes on others’ legitimate rights or otherwise harms social order, public safety, or public morality.

(8) Other content that violates laws, regulations, departmental rules, or national policies.

3.1.6.6. Consuming excessive computing resources, such as server memory, CPU, or network bandwidth, on the Alibaba Cloud cloud platform, either directly or through programs or processes that cause abnormal resource consumption. This activity severely burdens the Alibaba Cloud platform or other users’ networks, servers, including domestic, international, and cross-border systems, or applications, disrupts connectivity between Alibaba Cloud and the Internet or specific networks or servers, or causes service outages, system crashes, or application unavailability.

3.1.6.7. Conducting or attempting any activity that compromises network security. This includes but is not limited to phishing, hacking, online fraud, or hosting or distributing viruses, trojans, or malicious code, or engaging in attacks, such as scanning, sniffing attacks, ARP spoofing, or DDoS, against other websites or servers using virtual servers.

3.1.6.8. Installing or using pirated software on Alibaba Cloud services or platforms. You understand and agree that Alibaba Cloud can refuse to deploy application systems that use pirated software. You bear full responsibility for the consequences of your actions, such as self-installed software or operations. If the legitimate copyright holder of the software that you installed files an infringement complaint against Alibaba Cloud, you must take all reasonable steps to indemnify Alibaba Cloud. This includes clarifying the situation, providing proof of legitimate software use, or taking other actions that are sufficient to withdraw the complaint.

3.1.6.9. Modifying, translating, adapting, renting, sublicensing, publicly transmitting, or transferring Alibaba Cloud-provided software, or reverse engineering, decompiling, or otherwise attempting to discover its source code, unless expressly permitted in writing by Alibaba Cloud. You must not alter or attempt to alter Alibaba Cloud’s system configurations or compromise system security.

3.1.7. You understand and agree that state secrets of the People’s Republic of China are legally protected. You have an obligation to safeguard these secrets and must comply with relevant confidentiality laws when you use Alibaba Cloud services. You must not endanger the security of state secrets.

3.1.8. If Alibaba Cloud services involve third-party software that is licensed for use, you agree to comply with the relevant license agreements.

3.1.9. If a third party raises questions or complaints about you, Alibaba Cloud notifies you promptly. You must provide explanations and supporting evidence within the specified timeframe. If you fail to provide counter-evidence or respond on time, Alibaba Cloud can take measures including, but not limited to, immediately deleting the disputed content or suspending or terminating your service.

3.1.10. You must perform your own data backups and complete related operations. Alibaba Cloud assumes no responsibility for your backup efforts or outcomes.

3.2. Alibaba Cloud’s Rights and Obligations

3.2.1. Alibaba Cloud is obligated to provide services in accordance with this Service Agreement and the content displayed on the Alibaba Cloud website for the relevant products or services.

3.2.2. You understand and acknowledge that due to technological limitations, Alibaba Cloud cannot guarantee a flawless service. For example, its overall security protection or security products cannot ensure absolute hardware or software security. However, Alibaba Cloud commits to continuously improving service quality and standards. Therefore, you agree that if service flaws exist but are unavoidable given the current industry technology levels, they will not constitute a breach by Alibaba Cloud. You agree to cooperate with Alibaba Cloud to resolve such issues.

3.2.3. Alibaba Cloud is responsible for maintaining the underlying infrastructure below the operating system and the Alibaba Cloud-provided software, such as the technical architecture and OS for Elastic Compute Service (ECS) and ApsaraDB RDS. You are solely responsible for components above the OS, such as the applications that you install. If you upgrade the OS yourself, this may cause outages or other adverse effects. You must manage your own risks and proceed with caution.

3.2.4. Alibaba Cloud may provide tools with daily data backup capabilities for certain services. However, these tools are not essential components of the service, and Alibaba Cloud assumes no responsibility for your ability or inability to use them. You must perform your own data backups and complete related operations.

3.2.5. You understand and acknowledge that Alibaba Cloud can impose restrictions on how, where, and to what extent you use services based on the category, features, and specifications of the products or services that you order. You must carefully read the Dedicated Terms, user documentation, and other relevant materials for your ordered services, understand the usage limits, and comply with them. If your usage exceeds the purchased specifications, Alibaba Cloud reserves the right to restrict or suspend your service at its discretion.

3.2.6. You understand and acknowledge that Alibaba Cloud provides security protection, such as Alibaba Cloud Security Server Guard, and management and monitoring features, such as Cloud Monitor, for certain services. Although thoroughly tested, these services may not be fully compatible with all hardware or software systems or guarantee 100% accuracy. If incompatibility or software errors occur, you must immediately disable the affected feature and contact Alibaba Cloud for support.

3.2.7. During the service term, Alibaba Cloud provides the following after-sales support:

3.2.7.1. 7×24 phone consultation and online ticket support to address your usage questions.

3.2.7.2. Fault support services. You can report faults using online tickets. Alibaba Cloud will promptly assist with faults not caused by your actions, excluding those that result from your actions, force majeure, or factors beyond Alibaba Cloud’s control.

3.2.8. You understand and acknowledge that Alibaba Cloud can migrate the physical infrastructure that hosts your products or services between data centers when necessary. Alibaba Cloud will notify you at least 7 calendar days in advance. Such migrations may require DNS or other configuration changes. After you receive the notice, you must update your DNS records to the IP address designated by Alibaba Cloud or make the required adjustments within the specified timeframe. If you fail to do so, the resulting service unavailability is your sole responsibility.

3.2.9. During the term of this Service Agreement, and without disclosing your confidential information, Alibaba Cloud can use your service usage as a case study or success story for its own marketing and promotion. In such materials, Alibaba Cloud can use your company name and logo. Except as stated, Alibaba Cloud will not use your company name, logo, or related branding without your written permission.

3.2.10. If this Service Agreement is modified, Alibaba Cloud will announce the changes on an appropriate section of its website at least 30 days in advance. If you disagree with the changes, you can stop using Alibaba Cloud services. In this case, you must notify Alibaba Cloud to terminate the service and migrate your business data yourself. Alibaba Cloud will promptly settle any outstanding service fees, if applicable. If you continue to use Alibaba Cloud services, this constitutes your acceptance of the modified terms.

3.2.11. Certain Alibaba Cloud services include account authorization features that allow you to grant full or partial operational permissions to one or more designated accounts. All actions that are performed by authorized accounts are deemed your own. You understand and agree that using this feature is your independent decision, and you bear full responsibility and the associated service fees for all actions and outcomes from authorized accounts.

3.2.12. If you violate any provision in Section 3.1, Alibaba Cloud reserves the right to take appropriate measures, including but not limited to suspending or terminating the service or deleting harmful content or programs.

4. User Data

4.1 User Business Data

4.1.1. Alibaba Cloud recognizes that the data that you process, store, upload, download, distribute, or otherwise handle using Alibaba Cloud services (online data), and the data that is backed up using Alibaba Cloud’s optional backup tools (offline data), constitute your user business data. You retain full ownership of your user business data.

4.1.2. You are solely responsible for the source and content of your user business data. Alibaba Cloud advises you to carefully verify the legality of your data sources and content. You bear all consequences and liability for violations of laws, regulations, or national policies that arise from your user business data.

4.1.3. Except to fulfill your service requests, Alibaba Cloud will not use or disclose your user business data without authorization, except in the following cases:

4.1.3.1. When legally required by government authorities to provide or disclose user business data in accordance with laws, regulations, or policy documents.

4.1.3.2. When separately agreed upon by you and Alibaba Cloud.

4.1.4. You can delete or modify your online data at any time. If you release a service or delete online data, Alibaba Cloud immediately and permanently deletes your online data. The corresponding offline data, if any, is stored and deleted according to your backup rules, or Alibaba Cloud’s default rules if none are set. You must exercise caution when you perform data deletion or modification.

4.1.5. Upon service expiration, early termination, including by mutual agreement or for other causes, or overdue payment, Alibaba Cloud retains your user business data, if any, only for a grace period as specified in the Dedicated Terms, product documentation, or service descriptions for your ordered products or services. After this period, Alibaba Cloud deletes all user business data, including cached or backup copies, and retains no data. You understand and agree that Alibaba Cloud has no further obligation to retain, export, or return your user business data.

4.1.6. Deleted online or offline data cannot be recovered. After both are deleted, all your data on Alibaba Cloud is permanently erased. You bear all consequences and liability for data loss that results from deletion.

4.2. User Account Information

4.2.1. Your user account information includes the following: (1) details that you provide when you log in to your Alibaba Cloud account or order or use services, such as company name, business license, full name, gender, date of birth, ID number, passport details, phone number, email, address, including postal code, and payment account, and (2) Alibaba Cloud’s service records, including bills, purchase history, consultation logs, fault reports, and troubleshooting processes.

4.2.2. Alibaba Cloud collects your information solely to provide and improve services. Unless separately agreed with you or legally required to disclose to third parties, such as administrative or judicial authorities, Alibaba Cloud uses your information only for the following purposes:

4.2.2.1. Delivering and maintaining the services that you use, and improving them.

4.2.2.2. Recommending relevant content, including product and service information, in compliance with applicable laws.

4.3. You understand and agree that to respond promptly to your support requests, ensure overall cloud platform security, and improve services, Alibaba Cloud will monitor, review, and log your service usage behavior, support requests, and unsafe data characteristics. This user support data excludes user business data and user account information.

4.4. Unless separately agreed, Alibaba Cloud stores user business data in data centers within the People’s Republic of China. Alibaba Cloud honors its security commitments and protects the data that is stored in these data centers.

5. Intellectual Property

5.1. All materials, technology, technical support, software, and services that are provided by either party under this Agreement remain the intellectual property of the providing party or its rightful owners. Without explicit written consent from the provider or rights holder, the other party may not copy, distribute, transfer, license, or allow third-party use of these intellectual assets and bears full liability for unauthorized use.

5.2. You warrant that all information that you provide to Alibaba Cloud, the data that you upload, your use of Alibaba Cloud services, and the resulting outputs do not infringe any third party’s rights. If a third party files a complaint, claim, lawsuit, or other action against Alibaba Cloud regarding your provided or uploaded information, data, actions, or outputs, you must immediately resolve the issue and compensate Alibaba Cloud for all direct economic losses, including fees and settlement costs.

5.3. If a third party challenges Alibaba Cloud’s intellectual property rights, you must notify Alibaba Cloud promptly for resolution. If a third party challenges the intellectual property rights of materials that you use using Alibaba Cloud services, you must provide relevant proof of ownership and cooperate with Alibaba Cloud’s resolution efforts.

6. Confidentiality

6.1. "Confidential Information" under this Agreement refers to trade secrets, including financial secrets, technical secrets, know-how, and other confidential information or materials that are obtained by one party (the "Receiving Party") from the other (the "Disclosing Party") or generated during the performance of this Agreement. This includes but is not limited to product documentation, roadmaps, pricing, financial or marketing plans, business strategies, customer information or data, R&D, hardware or software, API data interfaces, technical specifications, designs, and proprietary formulas or algorithms. This applies regardless of format, medium, or whether the Disclosing Party marked it as confidential at disclosure.

6.2. Both parties must protect the other’s Confidential Information with at least the same degree of care as they use for their own confidential information. You must use Confidential Information only for purposes related to this Agreement.

6.3. You must limit access to Confidential Information to employees and executives with a legitimate need-to-know. You must ensure that these individuals strictly comply with this confidentiality obligation.

6.4. The restrictions above do not apply if:

6.4.1. The Receiving Party lawfully possessed the Confidential Information before or at the time of signing this Agreement.

6.4.2. The Confidential Information was public or publicly available when disclosed to the Receiving Party.

6.4.3. The Receiving Party obtained the Confidential Information from a third party without confidentiality obligations.

6.4.4. The Confidential Information became public or publicly available without a breach of this Agreement.

6.4.5. The Receiving Party or its affiliates independently developed the Confidential Information without using the Disclosing Party’s information.

6.4.6. Disclosure is required by a court order or legal or administrative process, such as oral questioning, document requests, subpoenas, or civil or criminal investigations.

6.4.7. Disclosure is necessary to apply for business qualifications, certifications, or compliance with national or industry standards from administrative bodies or associations. In such cases, the Receiving Party must disclose only the minimum necessary information and require the recipient to maintain confidentiality at least at the level of this Agreement.

6.5. Both parties must use their best efforts to prevent unauthorized disclosure of Confidential Information. If a breach occurs, they must cooperate to take all reasonable measures to mitigate harm. The breaching party must compensate the other for all direct economic losses that result from the breach.

7. Service Activation, Modification, and Termination

7.1. You can activate and use services through your Alibaba Cloud account or API.

7.2. For monthly subscription or resource plan (package) services:

7.2.1. The service is activated upon payment. You will receive login credentials to use the service. The service term begins at activation, not when you receive the credentials.

7.2.2. Monthly subscription services end when the purchased term expires. Resource plan services end when the plan’s term expires or its resources are fully consumed, whichever occurs first.

7.2.3. If you cancel a service without justification before the term expires, Alibaba Cloud can reinstate standard pricing, charge a penalty, or apply a cancellation or refund fee, as specified on the relevant webpage or order.

7.2.4. You must use all resources in your resource plan before its term expires. Unused resources expire with no replacement or compensation. Resource plan usage takes priority. If you continue to use the service after the plan expires or is depleted without renewing, Alibaba Cloud will treat it as pay-as-you-go usage, if available, and bill you accordingly.

7.3. Pay-as-you-go services:

Unless otherwise agreed or if you have outstanding payments, you can use Alibaba Cloud services immediately upon activation. You must maintain a sufficient account balance for uninterrupted service.

7.4. You understand and acknowledge that Alibaba Cloud continuously improves service quality and user experience. This may involve changing service formats, specifications, or other aspects. Alibaba Cloud will provide advance notice through website announcements, internal messages, email, SMS, or other methods.

7.5. The service terminates early if:

7.5.1. Both parties mutually agree to early termination.

7.5.2. You materially breach this Agreement, for example, by violating laws or any commitment herein. Alibaba Cloud can terminate the service and delete all your data.

7.5.3. Despite Alibaba Cloud’s ongoing efforts to implement technical measures against cybersecurity threats, such as viruses, intrusions, and DDoS attacks, such threats may harm Alibaba Cloud or other users’ networks or servers or disrupt connectivity. This is because of their unpredictable nature and technological limitations. In such cases, Alibaba Cloud can suspend or terminate the service. If the service is terminated, fees are calculated based on the actual service months, with partial months prorated, and any remaining balance is refunded.

8. Breach of Contract

8.1. Either party that breaches this Agreement must bear legal liability.

8.2. Due to the nature of computing and the Internet, the following do not constitute breaches by Alibaba Cloud, excluding force majeure and unforeseen events:

8.2.1. Short service interruptions during server configuration or maintenance.

8.2.2. Reduced website or application performance due to Internet congestion.

8.3. Alibaba Cloud is not liable for any indirect or punitive damages, including lost profits from using its services, even if advised of such potential losses.

8.4. Alibaba Cloud’s total liability for a breach is limited as follows:

8.4.1. For monthly subscription or resource plan services, the total liability does not exceed the fees that you paid for the affected service during the fault period.

8.4.2. For pay-as-you-go services, the total liability does not exceed the fees that you paid for the affected service in the 12 calendar months that precede the fault, or the actual usage period if it is less than 12 months.

9. Limitation and Exclusion of Liability

You understand and agree that during free trials, such as public preview or invitational preview, or within free quotas, Alibaba Cloud provides no guarantees regarding service availability or reliability and assumes no liability for your use or inability to use its services or for related outcomes.

10. Force Majeure and Unforeseen Events

10.1. Neither party is liable if performance becomes impossible, unnecessary, or meaningless due to force majeure or unforeseen events.

10.2. Force majeure and unforeseen events refer to objective circumstances that are unforeseeable, unavoidable, insurmountable, and significantly impact one or both parties. Examples include natural disasters, such as floods, earthquakes, and pandemics, and social events, such as war, civil unrest, government actions, telecom backbone failures, hacking, network congestion, telecom technical adjustments, and government restrictions.

11. Governing Law and Dispute Resolution

11.1. This Agreement is governed by the laws of the People’s Republic of China.

11.2. You must resolve disputes through prompt negotiation. If a dispute is unresolved, either party can file a lawsuit directly with the Xihu District People’s Court in Hangzhou.

You must review your business data and its acquisition and use for compliance with laws, regulations, and national policies. You bear all resulting liability. You confirm and agree that Alibaba Cloud assumes no responsibility for violations that arise from your business data or its acquisition or use.

  2. Your business data may contain third-party personal information. Alibaba Cloud will not intentionally identify, extract, collect, or separately store such personal information, nor will it link it with other Alibaba Cloud data.
