根据《中华人民共和国民法典》及其它相关法律法规的规定，经甲乙双方共同协商，签订本框架服务协议（以下或简称“本协议”），就乙方为甲方提供阿里云产品/服务之相关事宜，甲乙双方同意：
In accordance with the Civil Code of the People's Republic of China and other applicable laws and regulations, with respect to the provision of Alibaba Cloud Products/Services to Party A by Party B, Party A and Party B have, through consultation, entered into this Framework Service Agreement (or this "Agreement") as follows:
一、甲方将通过阿里云账号{{$!allPartyAAliyunId}}（UID： ）购买阿里云产品/服务。
I.Party A will purchase Alibaba Cloud Products/Services using an Alibaba Cloud Account {{$!allPartyAAliyunId}}（UID： ）
1、甲方注册上述阿里云账号，并以自身真实信息完成上述账号的实名认证，是本框架服务协议生效的前提条件。因此，甲方注册账号时确认的《阿里云网站服务条款》、《法律声明及隐私权政策》是本协议的上位协议，对甲方具有约束力。
The effectiveness of this Framework Service Agreement is conditioned upon Party A registering the Alibaba Cloud Account and completing real-name authentication process for such account using its real information. Therefore, Aliyun Website Service Agreement and Legal Statement and Privacy Policy confirmed by Party A during the registration of the account, as agreements underlying this Agreement, shall be binding upon Party A.
2、依据上位协议，甲方应对上述阿里云账号下的所有行为及后果承担责任，其中亦包括甲方签署本框架协议后所应承担的协议义务，包括但不限于：付款义务、还款义务、合规使用、保底承诺等。
In accordance with these underlying agreements, Party A shall be liable for all activities conducted under the Alibaba Cloud Account and consequences thereof, including the obligations to be assumed by Party A upon its execution of this Framework Agreement, including but not limited to obligations regarding payment, repayment, legal use and minimum guarantee etc.
3、甲方通过上述阿里云账号所购买的阿里云产品/服务，原则上只限甲方自用。如果甲方经阿里云同意或认可，通过上述账号为第三方购买阿里云产品/服务，或者将上述账号下所购买的产品/服务交由第三方实际使用的，甲方有义务事先告知并要求该等第三方遵守本协议的全部内容，本协议对该等第三方具有约束力；同时，甲方应对该等第三方的所有行为和后果承担连带责任，即使阿里云已知晓该等第三方为相关行为的实际行为人（例如：甲方为该等第三方申请了相关的订单、合同、发票等购买凭证）。
In principle, all Alibaba Cloud Products/Services purchased by Party A using the Alibaba Cloud Account shall be only used by Party A itself. If, subject to the consent or authorization of Alibaba Cloud, Party A purchases Alibaba Cloud Products/Services for a third-party using the Alibaba Cloud Account, or provides any Products/Services purchased using the Alibaba Cloud Account to a third-party for use, Party A shall in advance inform of, and request such third-party to abide by, all provisions of this Agreement, and this Agreement shall be binding upon such third-party. Further, Party A shall be jointly and severally liable for all activities conducted by such third-party and consequences thereof, even if Alibaba Cloud has been informed that the related activities are actually conducted by such third-party (for example, Party A has applied for orders, contracts, invoices and other purchase vouchers for such third-party).
4、甲方仅在上述阿里云账号范围内，享有本协议及附件的约定的折扣或其他优惠待遇（如有），甲方的其他阿里云账号（指甲方为该等账号的实名认证主体），不得享受本协议项下的优惠待遇。
Party A shall be entitled to the discounts or other concessions (if any) set forth in this Agreement and the Appendices hereto only under the Alibaba Cloud Account, and no other Alibaba Cloud accounts of Party A (i.e., Party A being the real-name authenticated holder of such account) shall be entitled to any concessions under this Agreement.
二、阿里云向甲方提供的具体产品/服务的服务主体、服务内容以及具体配置，以甲方在阿里云官网（www.aliyun.com）上订购当时的页面展示为准。
I.Service provider, service content and specific configuration with respect to specific Products/Services provided by Alibaba Cloud to Party A shall be subject to those displayed on the page when Party A placing an order for such Products/Services on the official website (www.aliyun.com).
1、阿里云可能单独向用户提供相关产品/服务，也可能和关联公司、合作伙伴共同为用户提供产品/服务（例如：云通信类产品），还有可能阿里云仅提供售卖渠道，由阿里云关联公司、合作伙伴单独向用户提供相关产品/服务（例如：商标类服务、联通跨境云专线等）。具体产品/服务的提供主体，以阿里云官网页面展示为准。
Alibaba Cloud may, individually or jointly with its affiliates or partners, provide relevant Products/Services to users (e.g., cloud communication-related products), or Alibaba Cloud may provide a sales channel only and affiliates or partners of Alibaba Cloud will individually provide relevant Products/Services to users (e.g., trademark-related services, Unicom Cross-border Cloud Direct Connect, etc.). The providers of specific Products/Services shall be subject to those displayed on the official website of Alibaba Cloud.
2、甲方在订购当时在线确认的产品服务条款，以及相关阿里云产品/服务的产品详情页、服务订购页的相关信息、提示、产品文档等，共同构成双方就该具体产品/服务过程中所应遵守的权利义务的依据，对双方具有约束力。
The product and service terms confirmed by Party A online when placing an order, and the relevant information, notices and product documents on the product detail page and/or service ordering page of relevant Alibaba Cloud Products/Services shall constitute the basis for the rights and obligations to be complied with by the Parties with respect to such specific Products/Services, and be binding upon the Parties.
3，本协议附件的《阿里云产品及服务条款》，是阿里云产品/服务所适用的通用条款。具体产品服务条款未作约定的，可补充适用《阿里云产品及服务条款》的相关约定。具体产品服务条款与《阿里云产品及服务条款》有冲突的，优先适用具体产品服务条款的相关约定。
The Terms for Alibaba Cloud Products and Services attached hereto are the general terms applicable to Alibaba Cloud Products/Services. In case of anything not covered in the terms for specific products and services, the relevant provisions of the Terms for Alibaba Cloud Products and Services may apply on a supplementary basis. In case of any conflict between the terms for specific products and services and the Terms for Alibaba Cloud Products and Services, the terms for specific products and services shall prevail.
三、甲方在本协议期限内，订购产品/服务的价格、优惠详见附件《产品/服务价格》。
I. Prices and concessions for Products/Services ordered by Party A during the term of this Agreement are set forth in the Appendix- Product/Service Prices.
1、甲方根据本协议所享受的折扣等优惠政策，均以阿里云官网价格（目录价）为基准，阿里云官网价格调整的，甲方在本协议项下的实际购买价格随之调整。
Discounts and other preferential policies available to Party A in accordance with this Agreement shall be based on the prices listed on the official website of Alibaba Cloud (list price). In case of any adjustment to the prices listed on the official website of Alibaba Cloud, the actual purchase price(s) applicable to Party A hereunder shall be adjusted accordingly.
2、甲方如果另行订购了阿里云节省计划的，则节省计划的优惠与本协议项下的优惠政策择优适用，不可叠加。
If Party A has otherwise subscribed for an Alibaba Cloud savings plan, it may apply either the concessions under the savings plan or the preferential policies under this Agreement, whichever is more favorable, but not both of them.
3、除双方另有约定，或阿里云认可的情形外，甲方基于本协议所享受的折扣或其他优惠政策所购买的阿里云产品/服务，仅可自用，不得以直接或间接方式转售或转卖给第三方，更不能以赚取差价等方式用于牟利。否则阿里云有权即时终止本协议，并有权采取要求甲方补齐价差、交回所得利益、弥补阿里云损失等一项或多项措施。
Unless otherwise agreed upon by the Parties or approved by Alibaba Cloud, the Alibaba Cloud Products/Services purchased by Party A pursuant to the discounts or other preferential policies available to it under this Agreement shall be for Party A's own use only, and shall not be resold to any third-party directly or indirectly, and shall not be used for making profits by take advantage of price difference. Otherwise, Alibaba Cloud shall have the right to terminate this Agreement immediately, and take one or more measures such as requiring Party A to make up the price difference, return proceeds and/or indemnify Alibaba Cloud for any losses caused.
4、甲方享受阿里云优惠政策，应以切实履行付款义务为前提。如果甲方未能按时如数支付服务费用的，阿里云有权拒绝继续给予甲方一项或多项优惠待遇，包括但不限于：折扣、返券、活动权益及其他优惠。
Subject to the fulfillment of its payment obligation, Party A will be entitled to the preferential policies offered by Alibaba Cloud. If Party A fails to pay service fees in full in a timely manner, Alibaba Cloud shall have the right to refuse to continue to offer one or more preferential policies to Party A, including but not limited to discounts, coupon rebates, special offer benefits and other concessions.
四、在本协议期限内，购买和使用由SALESFORCE, INC. 或其任何关联公司 (以下简称 “Salesforce”) 拥有或许可的Salesforce on Alibaba Cloud产品 (以下简称“SFDC中国产品”),请参阅附件3 SFDC中国产品的专用条款。
For the use of Salesforce on Alibaba Cloud products(hereinafter collectively referred to as "SFDC China Products") ordered by You pursuant to the Order Forms during the term of this Agreement, please refer to Appendix 3 Specific Terms of SFDC China Products. "Salesforce" or "SFDC" shall mean SALESFORCE, INC. or any of its affiliates.
五、本协议有效期
II.Term of this Agreement
1、本协议自双方签署之日起至具体服务期限届满时止。服务期限（同附件3《SFDC中国产品专用条款》中的“订阅期限”）自实际付款且阿里云开通服务之日，或具体服务订单中注明的服务开始日期起算（以两者中较晚的时间为准）。在协议有效期购买的包年包月或套餐包服务，就该等实例的权利义务仍按照本协议执行；在协议有效期内购买的按量付费服务，服务期同本协议有效期。
This Agreement commences on the date of signature by both Parties, and will be valid until all subscriptions hereunder have expired or have been terminated. The term of the service equivalent to the " term of subscription " in Appendix 3 Specific Terms of SFDC China Products) starts from the date when actual payment is finished and the service is activated, the service start date in the specific service order (whichever is later). During the term of this Agreement, rights and obligations of related instances of monthly subscription or service package shall continue to be performed in accordance with this Agreement. For pay-as-you-go services purchased within the term of this Agreement, the service period is the same as this Agreement.
2、阿里云依据本协议的约定，要求甲方承担在具体产品/服务合同项下的欠费及/或其他违约责任的权利，不受本协议到期终止的影响。
The termination of this Agreement shall not affect the right of Alibaba Cloud to request Party A to be liable for any default in payment and/or any other breach under the specific Product/Service agreements.
六、甲乙双方同意遵守本协议主文以及各附件的所有约定。
III.Party A and Party B agree to comply with all provisions of this Agreement, including the main body and appendices.
1、附件与本协议具有同等法律效力。
The Appendices hereto shall have the same legal effect as this Agreement.
2、若附件的内容与本协议主文部分有冲突之处，应以本协议主文条款为准。
In case of any conflict between any Appendix hereto and the main body of this Agreement, the terms and conditions of the main body of this Agreement shall prevail.
3、本服务协议附件为附件1《阿里云产品及服务条款》、附件2《产品/服务价格以及优惠》及附件3《SFDC中国产品专用条款》，并且如本协议主文与附件约定有不一致之处，按首先本协议主文、其次附件3、再次附件2，最后附件1的顺序予以适用。
The Appendices to this Agreement include the Appendix 1 Terms for Alibaba Cloud Products and Services, the Appendix 2 Product/Service Prices and Concessionsand the Appendix 3 Specific Terms of SFDC China Products. In case of any discrepancy between the main text and appendices of this Agreement, the main body of this Agreement shall apply firstly, and the Appendix 3 secondly, and then the Appendix 2, and finally the Appendix 1.
七、关联公司加入
IV.Accession of Affiliates
1、经甲方担保并申请，且通过阿里云审批的甲方关联公司可加入本协议，享有甲方同等的权利义务。即使甲方提出担保申请，阿里云仍有权自行决定批准或拒绝上述甲方关联公司的一家或多家加入本协议。
Upon guarantee and application by Party A and approval by Alibaba Cloud, any affiliates of Party A may accede to this Agreement and shall have the same rights and obligations as Party A. Even if Party A has provided guarantee and made an application, Alibaba Cloud shall have the right to, at its own discretion, approve or refuse the admission of one or more affiliates of Party A to this Agreement.
2、上述甲方关联公司如通过阿里云审批的，应通过其实名认证的阿里云账号，以独立主体身份完成本协议的签署后，方可享受本协议项下的甲方权益。如甲方关联公司未能另行提供阿里云账号的，甲方应负责阿里云与关联公司签署本协议的线下版本，包括但不限于确认甲方关联公司真实身份、盖章签署等。同时，甲方应对该等关联公司在甲方账号下的购买、使用行为承担连带责任。
To the extent that an affiliate of Party A is approved by Alibaba Cloud in accordance with the foregoing, it will be granted the entitlement same as that of Party A under this Agreement only when it has signed this Agreement as an independent person, using its Alibaba Cloud account which is real-name verified. If any affiliate of Party A cannot provide a separate Alibaba Cloud account, Party A shall be responsible to arrange the affiliate to sign the offline version of this Agreement with Alibaba Cloud, including but not limited to verifying the true identity, seal and signature of the affiliate. Further, Party A shall be jointly and severally liable for the purchase and use by such affiliate under the account of Party A.
3、甲方关联公司加入本协议，且享受了与甲方相同的、以承诺保底消费为前提的优惠折扣待遇的，则甲方与关联公司的承诺保底消费金额不做叠加，且以甲方及其关联公司的累计共同消费金额作为考核依据。
If an affiliate of Party A accedes to this Agreement and is offered the concessions and discounts same as those offered to Party A conditional upon the minimum consumption commitment, the minimum consumption commitment of Party A and the affiliate will not be cumulative, and the amount of total consumption of both of Party A and the affiliate shall be the basis of assessment.
4、甲方关联公司加入本协议，且与甲方共享信用额度的，则甲方与甲方关联公司应承诺，就对方的未还款金额，相互承担连带责任。
If an affiliate of Party A accedes to this Agreement and shares credit line with Party A, Party A and the affiliate shall undertake to be jointly and severally liable for any outstanding amount owed by the other Party.
八、协议的生效以及版本效力
V.Effectiveness of Agreement and Effect of Version
1、本协议自双方均加盖印章签署完毕之时起生效。
This Agreement shall become effective when it is signed by both Parties by affixing their seals.
2、[关联公司签署时适用]本协议依据编号为【】的《框架服务协议》第六条“关联公司加入”条款而签署，该协议中的关联公司相关条款对本协议的甲方具有法律约束力。
[Applicable in case of execution by an affiliate] This Agreement is executed based on Article VI "Admission of Affiliates" of the Framework Service Agreement (No.[ ]), and the provisions applicable to affiliates thereof shall be legally binding upon Party A.
3、甲乙双方同时签署本协议的线上版本及线下纸质版本的，两个版本的内容应当保持一致。如两个版本内容存在冲突的，优先适用线下纸质版本的内容。本协议以中文和英文书就，中文文本与英文文本不一致之处，以中文文本为准。
In the event that Party A and Party B sign this Agreement, both in an online version and in an offline printed version, the provisions of the two versions shall be consistent. In case of any conflict between the two versions, the offline printed version shall prevail. This Agreement is written in both Chinese and English. In the event of any discrepancy between the Chinese text and the English text, the Chinese text shall prevail.

Appendix 1: Terms for Alibaba Cloud Products and Services
《阿里云产品及服务条款》（以下或简称“本条款”）是阿里云计算有限公司（以下简称“阿里云”）与您就阿里云所提供产品/服务的相关事项所订立的有效合约。
The Terms for Alibaba Cloud Products and Services (these “Terms”) are a valid agreement by and between Alibaba Cloud Computing Ltd. (“Alibaba Cloud”) and You with respect to Products/Services provided by Alibaba Cloud.
在接受本条款之前，请您仔细阅读全部内容；如对相应条款有疑问，请通过阿里云相关业务部门或致电客服部门进行询问，阿里云将向您进行解释和说明；如您无法准确理解阿里云对本条款的解释和说明，或者您不同意本条款的任意内容，请不要进行后续操作。
Before accepting these Terms, please carefully read these Terms in entirety. If You have anyquestion about these Terms, please contact the relevant business department or the customer service department of Alibaba Cloud, and Alibaba Cloud will explain and clarify to You. If You cannot understand accurately such explanation and clarification or You do not agree to any provisions of the Terms, please do not proceed with any further actions.
在订购阿里云提供的产品/服务时，您除应遵守本条款外，还应遵守您产品规则（如有）、计费规则等、以及订购产品/服务时所点击确认专用服务条款（以下简称“专用条款”）（如有）内容，专用条款为本条款的有效组成部分，其效力与本条款相同；如遇本条款与专用条款二者不一致之处，优先适用各产品/服务的专用条款的约定。
For the purpose of purchasing Products/Services provided by Alibaba Cloud, in addition to these Terms, You shall comply with rules for products (if any), billing rules applicable to You, and special Products/Service terms (the "Special Terms") (if any) confirmed by clicking when placing an order for certain Products/Services. The Special Terms shall be an integral part of these Terms and have the same effect as these Terms. In case of any inconsistency between these Terms and the Special Terms, the Special Terms for Products/Services shall prevail.
关于本条款，特别提示您关注：关于限制、免责、违规/违约行为的认定处理、以及管辖法院的选择等条款内容，前述条款可能以加粗及/或加下划线形式提示您注意。
Please note in particular that, for the purpose of these Terms, the provisions regarding limitation, exemption, determination and handling of any violation/breach, and choice of court of jurisdiction, are highlighted by bold and/or underlined for your attention.
1.产品/服务内容
Content of Products/Services
1.1 本条款中的“产品/服务”指：阿里云向您提供www.aliyun.com网站（即阿里云官网）上所展示的产品/服务，以及相关的技术及网络支持服务，具体产品/服务内容以您所订购的产品/服务内容为准
For the purpose of these Terms, "Products/Services" mean the products/services displayed on www.aliyun.com website, the official website of Alibaba Cloud, provided by Alibaba Cloud to You, and relevant technical and network support services, and the content of the specific Products/Services shall be subject to the content of the Products/Services that You purchase.
2.产品/服务价格及费用
Product/Service Prices and Fees
2.1 阿里云将通过www.aliyun.com网站的相关页面上向您列明产品/服务价格，或根据您选择的产品/服务的规格配置为您提供订购产品/服务的应付费用，您应按照订购产品/服务当时在www.aliyun.com网站上的价格体系支付相应费用。
Alibaba Cloud will provide You with a list of prices of Products/Services on the relevant page of www.aliyun.com, or a list of fees payable for the Products/Services that You purchase based on the specifications of the Products/Services that You select, and You shall pay the fees in accordance with the price system listed on www.aliyun.com at the time when You placing an order for Products/Services.
2.2 您可以通过支付宝、网上银行或银行汇款等途径向您的阿里云账号充值，之后再进行具体产品/服务的订购，也可以在购买具体产品/服务时直接选择阿里云支持的付款渠道进行支付。支付方式及其他相关的具体规则以阿里云官网上的页面展示内容为准。此外，如果您在使用阿里云账号的信用额度功能，则您应还应遵守信用额度规则的相关要求。
You may recharge your Alibaba Cloud account through Alipay, online banking service or bank transfer before placing an order for specific Products/Services, or may directly select to pay through a payment channel supported by Alibaba Cloud when placing an order for specific Products/Services. The payment method and other relevant rules shall be subject to the provisions set forth on the official website of Alibaba Cloud. In addition, if You use the credit line function of your Alibaba Cloud account, You shall also comply with the relevant requirements under the rules for credit line.
2.3 根据您所订购产品/服务的类型不同，您需按照阿里云官网页面展示的相应时限完成产品/服务费用支付：
Depending on the type of Products/Services that You purchase, You shall pay for the Products/Services within the period of time as listed on the official website of Alibaba Cloud:
2.3.1 包年/包月或资源包/套餐包类产品/服务：
Products/Services available in yearly/monthly package or resource pack/set packing
2.3.1.1 若您购买以包年/包月或资源包/套餐包形式售卖的产品/服务，阿里云将在您付清全部费用后为您提供产品/服务。
If You purchase a yearly/monthly package or resource pack/set packing of Products/Services, Alibaba Cloud will provide You with the Products/Services upon your payment of all fees.
2.3.1.2 您需在订单提交后及时完成支付；未能及时完成支付的，订单将可能失效：（1）下单后超过7天未付款，订单自动失效；（2）未付款期间出现该产品/服务库存不足的，订单自动失效。订单一旦失效，您和阿里云就订单所载明的产品/服务内容及价格内容所达成的一切合意或行为均失效。
You shall make the payment immediately after placing an order, failure of which the order will become void: (1) the order will become void automatically if You do not make the payment more than 7 days after placing the order; or (2) the order shall become void automatically if the Products/Services become unavailable before You make the payment. When an order becomes void, all agreements or actions concluded by You and Alibaba Cloud with respect to the content and price of the Products/Services set forth in the order shall become invalid.
2.3.1.3若您计划在所订购的产品/服务的服务期届满后继续使用该产品/服务的，请在服务期满前支付续费款项，以使服务得以继续进行。
If You intend to keep using the Products/Services after the expiration of the service period of the Products/Services that You purchase, You shall pay renewal fees before the expiration of the service period so that You may continue to use the Products/Services.
2.3.1.4 在您未按照约定支付全部费用/支付续费款项之前，阿里云有权不向您提供相应产品/服务（包括技术支持）。尽管有此约定，如果阿里云在未收到您全部费用前已向您提供产品/服务的，则您自阿里云提供服务之日起，应当承担向阿里云支付全部服务费用的义务。
Alibaba Cloud shall have the right not to provide You with relevant Products/Services (including technical support) before You pay all fees/pay renewal fees as agreed. Notwithstanding the foregoing, if Alibaba Cloud provides You with Products/Services before receiving the payment from You, You shall pay Alibaba Cloud all service fees from the date on which the Services are provided by Alibaba Cloud.
2.3.2按量付费类产品/服务：
Products/Services paid by volume:
2.3.2.1 若您购买以按量付费形式售卖的产品/服务，您可先开通、使用服务，阿里云将根据产品类型的不同，以小时、天或月等周期为单位，自动计算上1（壹）个计费周期的实际使用量，并从您的阿里云账号余额中扣减相应的服务费用。具体扣费规则以及计费项以阿里云官网页面届时公布的内容为准。
If You purchase Products/Services paid by volume, You may activate and use the Services first, and Alibaba Cloud will calculate the volume actually used during the previous one (1) billing period on an hourly, daily or monthly basis depending on different types of Products and deduct the applicable service fees from the balance in your Alibaba Cloud account. The specific rules for deduction and billing items shall be subject to those then published on the official website of Alibaba Cloud.
2.3.2.2 若您计划在某一时间停止使用所订购的按量付费产品/服务，您应采取释放实例等动作，主动关闭该等产品/服务的，以使服务不再继续进行。任何情形下，欠费均不代表您已不再使用该等产品/服务的意思表示。
If You intend to stop using the Products/Services paid by volume that You purchase at a certain point of time, You shall cancel the Products/Services by actions such as releasing instances or otherwise so that the Services will not be provided. In no event shall any outstanding payment be considered as an intention that You want to stop using such Products/Services.
2.3.2.3 您需保持账号余额充足，以确保按量付费产品/服务的持续使用。如您的按量付费产品/服务产品欠费，阿里云有权依据相应的计费规则终止相应产品/服务（包括技术支持）。尽管有此约定，如果阿里云在您欠费的情况下未停止产品/服务的提供的，则您应对您关闭产品/服务前的全部费用承担支付的义务。
You shall keep sufficient balance in your account so that You may use Products/Services paid by volume continuously. If You fail to pay fees payable for Products/Services paid by volume, Alibaba Cloud shall have the right to terminate the Products/Services (including technical support) in accordance with the applicable billing rules. Notwithstanding the foregoing, in the event that Alibaba Cloud does not stop providing the Products/Services when You are in default of payment, You shall pay all fees payable for the Products/Services arising before they are cancelled by You.
2.3.3 自您未按约定支付服务费用的欠费之日起，阿里云有权按日收取欠费金额的千分之一作为您逾期付款违约金，阿里云将您欠费后的任一时间点向您提出收取违约金的要求。
From the date on which You do not pay service fees as agreed, Alibaba Cloud shall have the right to charge late payment liquidated damages at a daily rate of 0.1% of the outstanding amount. Alibaba Cloud may require You to pay the late payment liquidated damages at any time after You are in default of payment.
2.4 阿里云会定期或不定期推出优惠活动或政策（统称为“优惠活动”），例如：一次性订购满一定期限或服务量，赠送一定服务内容、延长服务期限或提供直接折扣、发放免费代金券，双十一产品特价/折扣，推荐码优惠等等形式。您理解并确认：
Alibaba Cloud will provide special offers or preferential policies (collectively as the "Special Offers") regularly or from time to time. For example, if You purchase Services for a certain period or for a certain volume in one order, You will be entitled to certain complimentary content of Services, extension of service period or direct discount, free vouchers, December 11 special offer/discount, concession using referral code, etc. You nderstand and acknowledge that:
2.4.1 此类优惠活动或政策均为阿里云在正常服务价格之外的特别优惠，优惠内容不包括赠送服务项目的修改、更新及维护费用，并且赠送服务项目不可折价冲抵服务费用。
Such Special Offers or preferential policies are in addition to the normal service prices of Alibaba Cloud, and do not include fees for modification, updating and maintenance of free services and the complimentary services shall not be used to offset against any service fees.
2.4.2 由于部分优惠活动或政策是基于您对于服务时长或服务量的使用承诺为前提，因此，若您无理由擅自退订相应服务，阿里云有权采取恢复原价计费、收取违约金或收取退订/退款手续费、作废、要求您承担已使用免费代金券等方式进行处理，以相应官网展示页面或相应订单中载明的方式为准。
Some Special Offers or preferential policies are conditional upon your commitment to purchase Services for a certain period of time or for a certain volume. Thus, if You cancel relevant Services without good reason, Alibaba Cloud shall have the right to charge based on the prices listed on the website, charge liquidated damages or charge service fees for cancellation/refund, invalidate subscription, require You to pay for free vouchers used, in each case, subject to the method set forth on the relevant official website page or in the relevant order
2.4.3 除非您所订购的产品/服务另有明确约定，或您与阿里云以书面形式另有其他明确约定，否则，多种优惠不可同时叠加适用。
Unless otherwise expressly agreed upon in respect of the Products/Services that You purchase or otherwise expressly agreed upon by You and Alibaba Cloud in writing, no concessions shall be applied simultaneously.
2.4.4 就您所订购的产品/服务享受的优惠活动或政策，您负有保密义务；一经发现您未能遵守本条保密义务，阿里云有权取消该等优惠，并有权决定是否暂停或终止服务。
You shall keep confidential the Special Offers or preferential policies available to You for the Products/Services that You purchase. If it is found that You do not comply with the obligation of confidentiality hereunder, Alibaba Cloud shall have the right to cancel such Special Offer and decide whether to suspend or terminate Services.
2.5 您理解并认可，阿里云可能通过开展邀请测试、公测等方式为您提供免费产品/服务或在一定使用额度内为您提供免费产品/服务，在免费期间或免费额度内，您不需支付产品/服务费用；阿里云不排除日后收取费用的可能，届时阿里云将提前10个自然日通过在网站内合适版面发布公告或发送站内通知等方式公布收费政策及规范；如果收费期开始后您仍使用相应产品/服务的，您应按届时有效的收费政策为后续使用的产品/服务付费。
You understand and acknowledge that Alibaba Cloud may provide You with free Products/Services through invitation-based testing, open beta or otherwise or for a certain use volume. During the free period or for the free volume, You are not required to pay any fees for Product/Service. Alibaba Cloud does not rule out the possibility that it will charge fees in connection therewith in the future, and will publish the applicable billing rules by posting a public announcement on its official website or an on-site notice 10 calendar days in advance. If You still use the relevant Products/Services after the commencement of chargeable period, You shall pay for the Products/Services used in accordance with the billing rules then in effect.
2.6 您理解并同意，阿里云将向您展示您所使用的阿里云产品/服务的服务费账单，如您对账单的内容有异议的，请您在相关服务费账单发送到您的阿里云账号后7个工作日（本协议所指之“工作日”均指法定节假日和休息日以外的，中国大陆境内商业银行办理对公业务的营业日）内向阿里云提出异议申请，若未在有效期内提出异议则视为认可。
You understand and agree that Alibaba Cloud will provide You with bill(s) of service fees for Alibaba Cloud Products/Services You used, and if You have any objection to any bill, You shall submit an objection to Alibaba Cloud within 7 business days（The "business day" in this agreement refers to the business days on which commercial banks in mainland China handle corporate business, other than legal holidays and rest days） after the relevant bill is sent to your Alibaba Cloud account. If You do not submit any objection within such period, it shall be deemed that the bill has been accepted by You.

Your Rights and Obligations
3.1.1 在使用产品/服务前，您应仔细阅读并遵守阿里云在官网页面上展示的相应产品/服务说明、技术规范、使用流程、操作文档等内容，并准确理解相关内容及可能发生的后果；在使用产品/服务过程中，您应依照相关操作指引进行操作，对于您违反相关操作指引所引起的后果由您自行承担，阿里云不承担任何责任；请您自行把握风险谨慎操作。如果您使用阿里云提供的open API方式订购产品/服务，您还应承诺您将定期及/或在购买具体产品/服务前，查阅阿里云在官网页面的上述内容以及更新并确保您知晓其含义。
Before using the Products/Services, You shall carefully read and comply with the instructions, technical specifications, use procedures, operating documents and other particulars of relevant Products/Services displayed on the official website of Alibaba Cloud and accurately understand the contents thereof and possible consequences. In using the Products/Services, You shall comply with the relevant operating instructions, and You shall be solely liable for the consequences arising from Your violation of the relevant operating instructions, without liability on the part of Alibaba Cloud; please decide at Your discretion and risk and operate prudently. If You order Products/Services by use of open API provided by Alibaba Cloud, You shall also undertake that You will review the above contents and updates on the official website of Alibaba Cloud regularly and/or before purchasing specific Products/Services and make sure You understand the meanings thereof.
3.1.2 您应向阿里云提交执行本条款的联系人和管理您网络及云平台上各类产品/服务的人员名单和联系方式；如以上人员发生变动，您应自行将变动后的信息在线进行更新。因您提供的人员的信息不真实、不准确、不完整，以及因以上人员的行为或不作为而产生的任何后果，均由您自行承担。
You shall provide Alibaba Cloud with the name list and contact information of the contact persons implementing these Terms and the personnel managing various Products/Services on Your network and the Cloud Platform; in case of any change of the aforesaid persons, You shall update the information online after the change. You shall be solely liable for any consequences arising from the untrue, inaccurate and incomplete information of the personnel provided by You or any acts or omissions of the above personnel.
3.1.3 您须依照《互联网信息服务管理办法》等法律法规的规定保留自己网站的访问日志记录，包括发布的信息内容及其发布时间、互联网地址（IP）、域名等，在国家有关机关依法查询时应配合提供。您应自行承担未按规定保留相关记录而引起的全部后果和责任。
You shall keep the access log records of Your own website, including the content and time of release of information released, IP address, domain name, etc., in accordance with the provisions of the Measures for the Administration of Internet Information Services and other relevant laws and regulations, and render cooperation to relevant state authorities if such authorities inquire about the same in accordance with the law. You shall be solely liable for all consequences and liabilities arising from failure to keep the relevant records in accordance with the provisions.
3.1.4 您对自己存放在阿里云云平台上的数据以及进入和管理阿里云云平台上各类产品/服务的口令、密码的完整性和保密性负责；因您维护不当或保密不当致使上述数据、口令、密码等丢失或泄漏所引起的一切损失和后果均由您自行承担。
You shall be responsible for the integrity and confidentiality of Your data stored on the Cloud Platform of Alibaba Cloud and tokens and passwords for accessing and managing various Products/Services on the Cloud Platform of Alibaba Cloud; You shall be solely liable for all losses and consequences arising from loss or leakage of the above data, tokens and passwords due to Your improper maintenance or improper maintenance of confidentiality.
3.1.5 如果您利用阿里云提供的产品/服务进行的活动需要获得国家有关部门的许可或批准的，您应及时获得该有关许可或批准。包括但不限于：
If any activity performed by You by using the Products/Services provided by Alibaba Cloud requires the license or approval from relevant state authorities, You shall obtain such license or approval in a timely manner, including, without limitation, the following:
（1）如果您开办了多个网站，须保证所开办的全部网站均获得国家有关部门的许可或批准；
If You establish more than one website, You shall ensure that You have obtained the license or approval from the relevant state authorities for all such websites;
（2）如您网站提供非经营性互联网信息服务的，必须办理非经营性网站备案，并保证所提交的所有备案信息真实有效，在备案信息发生变化时及时在备案系统中提交更新信息；
If Your website provides non-commercial internet information services, You shall complete non-commercial website filing, ensure that all the filing information submitted is true and valid, and promptly submit updates in the filing system in case of any change of the filing information;
（3）如您网站提供经营性互联网信息服务的，还应自行在当地通信管理部门取得经营性网站许可证；
If Your website provides commercial internet information service, You shall also obtain a commercial ICP license from the local telecommunication authorities;
（4）如您经营互联网游戏网站的，您应依法获得网络文化经营许可证；
If You operate an online game website, You shall obtain the Permit for Network Culture Business as required by law;
（5）如您经营互联网音、视频网站的，您应依法获得信息网络传播视听节目许可证；
If You operate internet audio and video website, You shall obtain the License for Publication of Audio-visual Programs through Information Network as required by law;
（6）若您从事新闻、出版、教育、医疗保健、药品和医疗器械等互联网信息服务，依照法律、行政法规以及国家有关规定须经有关主管部门审核同意，在申请经营许可或者履行备案手续前，应当依法经有关主管部门审核同意。
If You are engaged in internet information services such as news, publication, education, healthcare, medicine and medical devices, which are subject to examination and approval by the relevant competent authority in accordance with laws, administrative regulations and other relevant regulations of the PRC, You shall obtain the approval of the relevant competent authority in accordance with the law before applying for operating license or completing filing formalities.
您理解并认可，以上列举并不能穷尽您从事经营或非经营活动需要获得国家有关部门的许可或批准的全部类型；您在从事相应活动时，应符合国家及地方不时颁布相关法律法规之要求。
You understand and acknowledge that the above list cannot exhaust all types of licenses or approvals from relevant state authorities which are required for Your carrying out of commercial or non-commercial activities; You shall carry out relevant activities in compliance with the requirements of relevant laws and regulations promulgated by national and local government from time to time.
3.1.6 您进一步承诺，不会从事以下行为：
You further undertake that You will not perform any of the following acts:
3.1.6.1 您不会利用阿里云提供的产品/服务散发不受欢迎的或者未经请求的电子邮件、电子广告或包含反动、色情等有害信息的电子邮件；
You will not distribute undesirable or unsolicited email, electronic advertisements or emails containing reactionary, pornographic or other harmful information by using the Products/Services provided by Alibaba Cloud;
3.1.6.2 您不会将阿里云所提供的服务用作虚拟服务器，非法代理服务器（Proxy）以及邮件服务器；
You will not use services provided by Alibaba Cloud as virtual server, illegal proxy server or mail server;
3.1.6.3 您不会利用阿里云提供的产品/服务从事DDoS防护、DNS防护等经营性活动；
You will not carry out operating activities such as DDoS protection and DNS protection by using the Products/Services provided by Alibaba Cloud;
3.1.6.4 您不会从事损害阿里云和/或其关联公司（包括但不限于，阿里巴巴集团旗下的各企业，例如淘宝、阿里妈妈；以及阿里巴巴集团的关联企业，例如支付宝等）合法权益之行为，该等损害权益的行为包括但不限于：违反前述公司公布的任何服务条款/条款、管理规范、交易规则等内容，破坏或试图破坏阿里巴巴公司公平交易环境或正常交易秩序等；
You will not engage in any act that impairs the legitimate rights and interests of Alibaba Cloud and/or its affiliates (including, without limitation, members of Alibaba Group, such as Taobao, Alimama, and affiliates of Alibaba Group, such as Alipay), including, without limitation, breach of any service terms/terms, management practices and trading rules published by the aforesaid companies, or destruction of or attempt to destroy the fair trading environment or the normal trading order of Alibaba Group;
3.1.6.5 您不会利用阿里云提供的资源和服务上传（Upload）、下载（download）、储存、传播如下信息或者内容，不会为他人传播该等信息提供任何便利（包括但不限于设置URL、BANNER链接等）:
You will not use the resources and services provided by Alibaba Cloud to upload, download, store or disseminate any of the following information or content, or provide any convenience for others to disseminate such information (including, without limitation, setup of URL and link of web banner):
（1）违反国家规定的政治宣传和/或新闻信息；
Political propaganda and/or news information in violation of state regulations;
（2）涉及国家秘密和/或安全的信息；
Information involving state secrets and/or security;
（3）封建迷信和/或淫秽、色情、下流的信息或教唆犯罪的信息；
Information advocating feudalistic superstition and/or obscenity, pornography and indecency or abetting crimes;
（4）博彩有奖、赌博游戏、“私服”、“外挂”等非法互联网出版活动；
Illegal internet publishing activities such as lottery with awards, gambling games, “private servers” and “plug-in online games”;
（5）违反国家民族和宗教政策的信息；
Information in violation of national ethnic and religious policies;
（6）妨碍互联网运行安全的信息；
Information obstructing safe operation of internet;
（7）侵害他人合法权益的信息和/或其他有损于社会秩序、社会治安、公共道德的信息或内容；
Information that infringes upon the legitimate rights and interests of others and/or other information or content that is detrimental to social order, social security or public morality; and
（8）其他违反法律法规、部门规章或国家政策的内容。
Other content in violation of laws, regulations, departmental rules or national policies.
3.1.6.6 您不会恶意大量占用、或使用可能导致程序或进程非正常大量占用阿里云云计算资源（如服务器、网络带宽、存储空间等）所组成的平台（以下简称“云平台”）中服务器内存、CPU或者网络带宽资源，给阿里云云平台或者阿里云的其他用户的网络、服务器（包括但不限于本地及外地和国际的网络、服务器等）、产品/应用等带来严重的负荷，影响阿里云与国际互联网或者阿里云与特定网络、服务器及阿里云内部的通畅联系，或者导致阿里云云平台服务或者阿里云的其他用户所在的服务器宕机、死机或者用户基于云平台的产品/应用不可访问等；
You will not maliciously occupy or use a large amount of resources, which may cause any program or process to occupy an abnormally large amount of RAM, CPU or network bandwidth resources of the platform (the “Cloud Platform”) comprising of Alibaba Cloud’s cloud computing resources (such as servers, network bandwidth, memory space, etc.), bring heavy load to the Cloud Platform of Alibaba Cloud or other Alibaba Cloud users’networks, servers (including, without limitation, local, nonlocal and international networks and servers) or products/applications, affect smooth connections between Alibaba Cloud and the international internet, or between Alibaba Cloud and specific networks, servers or within Alibaba Cloud, or result in downtime or dead halt of servers hosting the Cloud Platform of Alibaba Cloud or other users of Alibaba Cloud or in failure to access users’Cloud Platform-based products/applications;
3.1.6.7 您不会进行任何破坏或试图破坏网络安全的行为（包括但不限于钓鱼，黑客，网络诈骗，网站或空间中含有或涉嫌散播：病毒、木马、恶意代码，及通过虚拟服务器对其他网站、服务器进行涉嫌攻击行为如扫描、嗅探、ARP欺骗、DDoS等）。
You will not perform any act breaching or attempting to breachcybersecurity (including, without limitation, phishing, hacking, internet fraud, including or being suspected of disseminating viruses, Trojans, malicious codes in or on website or space, and suspected attacks on other websites or servers through virtual servers, such as scanning, sniffing, ARP spoofing, DDoS, etc.).
3.1.6.8 您不得在阿里云服务或平台之上安装、使用盗版软件；您理解并同意，阿里云有权拒绝使用盗版软件的相关应用系统在阿里云服务或平台之上部署。您应对自己行为（如自行安装的软件和进行的操作）所引起的结果承担全部责任。如因您自行安装相关软件的合法版权人向阿里云提出侵权投诉、指控或其他主张，您应当采取一切合理措施以保证阿里云免责，包括但不限于进行情况澄清、提供正版软件使用证明，以及其他足以使合法版权人撤回其前述主张的措施。
You shall not install or use pirated software in or on Alibaba Cloud's service offerings or platform; You understand and agree that Alibaba Cloud shall have the right to decline the deployment of any application system using pirated software in or on Alibaba Cloud’s service offerings or platform. You shall take full responsibility for any outcome resulting from Your own act (such as installation and operation of software by Yourself). If the legitimate copyright holder of the software which You install at Your sole discretion files any infringement complaint, charge or other claim against Alibaba Cloud, You shall take all reasonable measures to hold Alibaba Cloud harmless, including, without limitation, clarifying issues, providing proof of use of copyrighted software and taking other measures sufficient for the legitimate copyright holder to withdraw its claim mentioned hereinabove.
3.1.6.9 除阿里云以书面形式明示许可外，您不得修改、翻译、改编、出租、转许可、在信息网络上传播或转让阿里云提供的软件，也不得逆向工程、反编译或试图以其他方式发现阿里云提供的软件的源代码；同时，您也不会进行任何改变或试图改变阿里云提供的系统配置或破坏系统安全的行为。
Unless expressly permitted by Alibaba Cloud in writing, You shall not modify, translate, adapt, lease, sub-license, distribute on information network, transfer, or reverse engineer, decompile or attempt to otherwise discover the source code of, the software provided by Alibaba Cloud; and You shall not perform any act changing or attempting to change the configuration, or breaching the security, of the system provided by Alibaba Cloud.
3.1.7 您理解并同意，中华人民共和国的国家秘密受法律保护，您有保守中华人民共和国的国家秘密的义务；您使用阿里云产品/服务应遵守相关保密法律法规的要求，并不得危害中华人民共和国国家秘密的安全。
You understand and agree that the state secrets of the People's Republic of China (PRC) are protected by law and You have the obligation to keep the state secrets of the PRC; Your shall use Alibaba Cloud Products/Services in compliance with the requirements of relevant laws and regulations governing confidentiality and without endangering the security of the state secrets of the PRC.
3.1.8 您理解并同意，遵守本协议所适用的联合国、中国、美国以及其他国家出口管制法律法规。您承诺：
You understand and agree to comply with the export control laws and regulations of the United Nations, the PRC, the US and other countries to which this Agreement is applicable. You undertake that:
（1）不会将阿里云产品/服务提供给适用的出口管制法律所列出的制裁国家/地区或黑名单的实体或个人；
You will not provide Alibaba Cloud Products/Services to the sanctioned countries/regions listed by applicable export control laws or to entities or individuals on the blacklist;
（2）不会将阿里云产品/服务用于扰乱国际和平与安全，包括不会被用以设计、开发、生产、储存或以任何方式使用核能、生物化学武器、弹道导弹等大规模杀伤性武器，或运输上述类似武器，或任何支持上述类似武器的活动，或用于任何适用的出口管制法律法规禁止的用途。
You will not use Alibaba Cloud Products/Services for the purpose of disturbing international peace and security, including for design, development, manufacturing, storage or any use of weapons of mass destruction such as nuclear, biological or chemical weapons, or ballistic missiles, or for transportation of the abovementioned or similar weapons, or for any activities in support of the abovementioned or similar weapons, or for any purpose prohibited by applicable export control laws and regulations.
3.1.9 若阿里云的产品/服务涉及第三方软件之许可使用的，您同意遵守相关的许可条款的约束。
If Alibaba Cloud Products/Services involve licensing of third-party software, You agree to be bound by relevant license terms.
3.1.10 如果第三方机构或个人对您提出质疑或投诉，阿里云将及时通知您，您有责任在规定时间内进行说明并出具证明材料；如您未能提供相反证据或您逾期未能反馈的，阿里云将采取包括但不限于立即删除相应被质疑/被投诉信息、暂停或终止服务等处理措施。
If any third-party institution or individual raises any challenge or complaint against You, Alibaba Cloud shall notify You in a timely manner and You are obliged to provide explanations and supporting documents within the prescribed time limit; if You fail to provide evidence to the contrary or fail to give feedback within the prescribed time limit, Alibaba Cloud will take measures to deal with such matters, including, without limitation, immediately deleting the information that is challenged or for which a complaint is raised, suspending or terminating services.
3.1.11 您应自行负责数据备份，并自行完成相应操作；阿里云不对您自行进行的数据备份工作或结果承担任何责任。
You shall be solely responsible for and complete data backup by Yourself. Alibaba Cloud does not take any responsibility for any data backup performed by You or the results thereof.
3.1.12 如您的关联公司使用本条款下阿里云产品/服务，该等关联公司将被视为阿里云客户，应遵守本条款的约定。您在此承诺并保证（1）您已获得该等关联公司受本条款约束的授权，且（2）您就该等关联公司未能完全遵守本条款或违反本条款向阿里云承担责任。
If any of Your affiliates uses Alibaba Cloud Products/Services under these Terms, such affiliate will be deemed as Alibaba Cloud's customer and shall comply with the provisions of these Terms. You hereby covenant and warrant that (1) You have obtained the authorization from such affiliate which will be bound by these Terms, and (2) You shall be liable to Alibaba Cloud for failure of such affiliate to fully comply with these Terms or its breach of these Terms.
3.2 阿里云的权利、义务
Rights and Obligations of Alibaba Cloud
3.2.1 阿里云有义务依据本条款、阿里云官网所展示的产品/服务内容、以及您所订购的产品/服务对应的《服务等级协议（SLA）》的约定向您提供产品/服务。但在如下情况下，阿里云无义务向您提供服务：（1）服务因阿里云无法控制的事由而无法提供（包括但不限于第11.2条项下所述之不可抗力）；（2）提供服务将导致您或阿里云违反适用的法律、法规或规章（下称该等情形为“无法履行”）。
Alibaba Cloud shall have the obligation to provide You with Products/Services in accordance with these Terms, the scope of Products/Services displayed on Alibaba Cloud's official website and the Service Level Agreement (the "SLA") applicable to the Products/Services ordered by You. However, Alibaba Cloud shall not be obligated to provide services to You if (1) the services become unavailable due to causes beyond the control of Alibaba Cloud (including, without limitation, Force Majeure set forth in Clause 11.2); (2) provision of services would result in Your or Alibaba Cloud's violation of applicable laws, regulations or rules (the"Performance Failure").
3.2.2 您理解并确认，受技术所限，阿里云无法保证其所提供的产品/服务毫无瑕疵（如阿里云的整体安全防护或安全产品并不能保证您的硬件或软件的绝对安全），但阿里云承诺将不断提升产品/服务质量及服务水平，为您提供更加优质的产品/服务。据此，您同意：如果阿里云所提供的产品/服务虽然存在瑕疵，但该等瑕疵是当时行业技术水平所无法避免的，其将不被视为阿里云违约。您同意和阿里云一同合作解决上述瑕疵问题。
You understand and acknowledge that, due to technology constraints, Alibaba Cloud cannot guarantee that the Products/Services provided by it are flawless (e.g., Alibaba Cloud’s overall security protection or security products cannot guarantee the absolute security of Your hardware or software). However, Alibaba Cloud undertakes to continuously enhance the quality and service level of Products/Services to provide You with more superior Products/Services. Accordingly, You agree that if there is any defect in the Products/Services provided by Alibaba Cloud which cannot be avoided based on the then current technology of the industry, Alibaba Cloud shall not be deemed to commit a breach of contract. You agree to work with Alibaba Cloud to solve the aforesaid defect.
3.2.3 阿里云负责操作系统以下的底层部分及阿里云提供的软件的运营维护，例如：云服务器（即弹性计算服务，简称ECS）、云数据库（RDS）的相关技术架构及操作系统等。操作系统之上的部分（如您在系统上安装的应用程序）由您自行负责。此外，您自行升级操作系统可能会造成宕机等不良影响，您应自行把握风险并谨慎操作负责。
Alibaba Cloud shall be responsible for the operation and maintenance of the bottom layer beneath the operating system and the software provided by Alibaba Cloud, such as cloud server (i.e., Elastic Computing Service, or ECS), the technology architecture and operating system related to cloud database (RDS), etc. The part above the operating system (such as the applications You install on the system) is Your responsibility. Besides, any upgrade of operating system by Yourself may cause downtime or other adverse effects. Please decide at Your discretion and risk and operate prudently.
3.2.4 阿里云可能会为提供的服务配置具有日常数据备份功能的工具，但您应自行负责数据备份，并自行完成相应操作。
Alibaba Cloud may configure a tool with daily data backup function for the services provided to You; provided that You shall be solely responsible for and complete data backup by Yourself.
3.2.5 您理解并认可，阿里云可能会根据您所订购的产品/服务的类别、特性及规格等，对您使用产品/服务的方式、范围、功能等进行限制，您应认真阅读阿里云关于您所订购的产品/服务的专用条款、使用文档及其他相关说明，理解并遵守该等使用限制；且您进一步同意，如果您所使用的服务超过其购买的服务规格，阿里云有权根据自己的判断，对您相关服务进行限制或暂停提供服务。
You understand and acknowledge that Alibaba Cloud may restrict the manner, scope and function of Your use of Products/Services depending on the category, characteristics and specifications of the Products/Services You order. You shall carefully read Alibaba Cloud’s Special Terms, use documentations and other relevant instructions regarding the Products/Services You order and understand and comply with such restrictions on use. You further agree that if You use services in excess of the specifications of the services You purchase, Alibaba Cloud shall have the right to restrict or suspend the provision of services to You at its sole discretion.
3.2.6 服务期限内，阿里云将为您提供如下售后服务：
During the service period, Alibaba Cloud shall provide You with the following after-sales services:
3.2.6.1 阿里云将以官网页面公布的售后服务SLA标准向您提供相应的售后服务支持。
Alibaba Cloud will provide you with corresponding after-sales service support according to the after-sales service SLA standards published on the official website.
3.2.6.2 阿里云同时提供付费版的售后增值服务（包括支持计划等），该等服务需在官网订购后生效使用。
Alibaba Cloud also provides paid after-sales value-added services (including support plans), which shall be effective upon ordering on its official website.
3.2.6.3 阿里云将尽最大努力为您提供第三方软件在阿里云ECS服务器/操作系统环境中安装、配置和疑难排解的建议，阿里云提供建议的范围包括：①关于阿里云服务与产品功能、容量、架构的咨询；②使用、配置阿里云产品的最佳实践范围。阿里云提供建议的范围不包括：①代码开发；②不在官网列举范围第三方软件配置指导以及故障排查；③所有第三方软件的安装、补丁更新、测试、故障诊断、优化等日常运维服务；④基于阿里云原生能力的三方自建业务支持。
Alibaba Cloud will use its best efforts to provide You with recommendations in connection with the installation, configuration and troubleshooting of third-party software in Alibaba Cloud ECS server/operating system environment. The recommendations provided by Alibaba Cloud will cover: ① inquiries regarding the function, capacity and architecture of Alibaba Cloud services and products; ② scope of best practices for using and configuring Alibaba Cloud products. The recommendations provided by Alibaba Cloud will not cover: ① code development; ② configuration instructions and troubleshooting of third-party software that are not listed on the official website; ③ daily operation and maintenance services such as installation, patch update, testing, troubleshooting and optimization of all third-party software; ④ third-party self-built business support based on the native capabilities of Alibaba Cloud.
3.2.7 您理解并认可，阿里云在必要时可能会将您的产品/服务所在的底层物理设备进行机房迁移。阿里云进行上述操作前将提前7个自然日通知您，由于进行上述操作可能需要修改您相关域名的DNS或进行其他配置调整，因此您需在接到阿里云通知后按照阿里云要求的时间将DNS修改到阿里云指定IP上或进行相应的配置调整，否则因此造成网站无法访问或产品/服务无法正常使用的，由您自行负责。
You understand and acknowledge that, Alibaba Cloud may, when necessary, migrate the computer room where bottom-layer physical equipment hosting Your Products / Services is located. Alibaba Cloud will notify You of the aforementioned migration 7 calendar days in advance. Considering the migration may require You to modify the DNS of Your relevant domain name or make other configuration adjustment, You shall modify the DNS to the IP address designated by Alibaba Cloud or make corresponding configuration adjustment within the time limit required by Alibaba Cloud upon receipt of the notice from Alibaba Cloud, failing which you will be solely liable for any failure to access the website or properly use Products / Services caused as a result thereof.
3.2.8 在不披露您保密信息的前提下，在本条款有效期内，阿里云可以就您使用阿里云产品/服务的情况作为使用范例或成功案例用于阿里云自身及/或业务的宣传与推广，在这类宣传推广中，阿里云有权使用您的名称、企业标识；除此之外，未经您书面许可，阿里云不会擅自使用您的企业名称、企业标识、相关logo等。
Subject to non-disclosure of Your Confidential Information, during the valid term of these Terms, Alibaba Cloud may use Your use of Alibaba Cloud Products/Services as examples or successful cases for publicity and promotion of Alibaba Cloud itself and/or its business. In such publicity and promotion, Alibaba Cloud shall have the right to use Your name and corporate identity. Except for this, Alibaba Cloud will not use Your name, corporate identity and relevant logo without Your written permission.
3.2.9 如本条款内容发生变动，阿里云应通过提前30天在阿里云官网的适当版面公告向您提示修改内容；如您不同意阿里云所做的修改，您有权停止使用阿里云的服务。此等情况下，您应通知阿里云终止服务，并自行负责将业务数据迁出，阿里云将及时与您进行服务费结算（如有）。如您继续使用阿里云服务，则视为您接受阿里云所做的相关修改。
If there is any change to these Terms, Alibaba Cloud shall remind You of such change by posting a notice on the appropriate section on the official website of Alibaba Cloud 30 days in advance; if You disagree with such change, You shall have the right to cease the use of Alibaba Cloud services. In such case, You shall notify Alibaba Cloud of the termination of the services and perform business data migration by Yourself, and Alibaba Cloud will settle the service fees (if any) with You in a timely manner. If You continue to use Alibaba Cloud services, You shall be deemed to have accepted the relevant changes made by Alibaba Cloud.
3.2.10 阿里云的某些服务可能具备账号授权管理功能，即您可将您对服务的全部或部分操作权限授权给您指定的一个或多个被授权账号，此种情况下，任一被授权账号下进行的所有操作行为，均将被视为您通过本人账号所进行的行为；您理解并同意，使用用户与授权管理功能是您自行独立审慎判断的结果，该被授权账号下的所有操作行为以及由此产生的结果，都将由您自行承担全部责任，并承担相应的服务费用。
Certain services provided by Alibaba Cloud may be characterized by account authorization management function, which means You may authorize all or part of Your access to the services to one or more authorized accounts designated by You. In such case, all operations conducted under any authorized account will be deemed as Your operations conducted through Your own account. You understand and agree that Your use of the user and authorization management function is the result of Your exercise of sole and prudent judgment, and You shall be solely liable for all the operations conducted under the authorized account and any consequences arising therefrom, and bear corresponding service fees.
3.2.11 如您违反3.1条所述的任何约定，阿里云有权根据情况采取相应的处理措施，包括但不限于暂停或终止服务、删除有害信息/程序等。
If You violate any of the agreements set forth in Clause 3.1, Alibaba Cloud shall have the right to take relevant measures as appropriate, including, without limitation, suspension or termination of services, deletion of harmful information/programs, etc.
3.2.12 如您未按时支付本协议项下费用，阿里云及/或其关联公司对您负有到期债务的，则阿里云及/或其关联公司将有权暂停支付该到期债务，并有权经书面通知您后，直接将前述到期债务用于抵消您在本协议项下的应付费用。您仍应对未清偿部分承担责任。
If You fail to pay fees hereunder when due, and Alibaba Cloud and/or its affiliates owe any matured debts to You, Alibaba Cloud and/or its affiliates shall have the right to suspend payment of such matured debts and, by giving a written notice to You, directly offset the fees payable by You hereunder against such matured debts. You shall remain liable for anyoutstanding fees.

4.1 用户业务数据
User Business Data
4.1.1 阿里云理解并认可，您通过阿里云提供的产品/服务，加工、存储、上传、下载、分发以及通过其他方式处理的数据（即在线数据），以及利用阿里云可能配置的备份工具备份的数据（即离线数据）均为您的用户业务数据，您完全拥有您的用户业务数据。
Alibaba Cloud understands and acknowledges that, the data You process, store, upload, download, distribute and otherwise handle through the Products/Services provided by Alibaba Cloud (namely, online data) and the data backed up by the backup tool Alibaba Cloud may configure (namely, offline data) is Your user business data. You fully own Your user business data.
4.1.2 您应对自己存放在阿里云云平台上的数据来源及内容负责，阿里云提示您谨慎判断数据来源及内容的合法性。因您上传、储存的数据及内容违反法律法规、部门规章或国家政策而造成的全部结果及责任均由您自行承担。
You shall be responsible for the source and content of the data stored by You on the Cloud Platform of Alibaba Cloud, and Alibaba Cloud reminds You to prudently judge the legality of the source and content of the data. You shall be solely liable for all consequences and liabilities arising from the violation of laws, regulations, departmental rules or national policies by the data and content You upload and store.
4.1.3 就用户业务数据，阿里云除执行您的服务要求外，不进行任何未获授权的使用及披露；但以下情形除外：
Alibaba Cloud will only use Your user business data for the performance of the services purchased by You. Alibaba Cloud will not use or disclose such data without Your authorization, except that:
4.1.3.1 在国家有关机关依法查询或调阅用户业务数据时，阿里云具有按照相关法律法规或政策文件要求提供配合，并向第三方或者行政、司法等机构披露的义务；或
If relevant state authorities inquire or access user business data in accordance with the law, Alibaba Cloud shall have the obligation to render cooperation in accordance with applicable laws, regulations or policy documents and to disclose the same to a third-party or administrative, judicial or other authorities; or
4.1.3.2 您和阿里云另行协商一致。
You and Alibaba Cloud have reached a separate agreement through negotiation.
4.1.4 您可自行对您的在线数据进行删除、更改等操作。如您自行释放服务或删除在线数据的，阿里云将立即实时删除您的在线数据，对应的离线数据（如有）按照您设定的备份规则（如未设定，则按阿里云默认的规则）存储并删除。就数据的删除、更改等操作，您应谨慎操作。
You may delete, change or otherwise handle Your online data at Your own discretion. If You release the service or delete Your online data at Your own discretion, Alibaba Cloud will immediately delete Your online data in real time and the corresponding offline data (if any) will be stored and deleted according to the backup rules set by You (if no rules are set, the default rules of Alibaba Cloud shall apply). You shall be cautious with regard to the deletion, change and other handling of data.
4.1.5 当服务期届满、服务提前终止（包括但不限于双方协商一致提前终止，其他原因导致的提前终止等）或您发生欠费时，除法律法规明确约定、主管部门要求或双方另有约定外，阿里云仅在一定的缓冲期（以您所订购的产品/服务适用的专用条款、产品文档、服务说明等所载明的时限为准）内继续存储您的用户业务数据（如有），逾期阿里云将删除所有用户业务数据，包括所有缓存或者备份的副本，不再保留您的任何用户业务数据。您理解并同意，阿里云没有继续保留、导出或者返还用户业务数据的其他义务。在线数据或离线数据一经删除，即不可恢复；在线数据及离线数据均被删除后，您在阿里云的全部数据均被清空。您应自行承担数据因此被删除所引发的后果和责任。
In the event of expiry of service period or early termination of service (including, without limitation, early termination by mutual agreement between the Parties or early termination due to other reasons) or Your default in payment of fees, unless expressly provided by laws and regulations, required by competent authorities or otherwise agreed upon by the Parties, Alibaba Cloud will only continue to store Your user business data (if any) within a certain buffer period (subject to the time limit set forth in the Special Terms, product documentation and service description applicable to the Products/Services ordered by You), beyond which, Alibaba Cloud will delete all user business data, including all cached or backup copies, and will not keep any of Your user business data. You understand and agree that Alibaba Cloud has no other obligation to continue the retention, export or return of user business data. Online data or offline data, once deleted, cannot be restored. After both online data and offline data are deleted, all Your data at Alibaba Cloud will be cleared. You shall be solely liable for the consequences and liabilities arising from such deletion of data.
4.2 用户账号信息
User Account Information
4.2.1 您的用户账号信息，包括您在登录阿里云账号或订购、使用阿里云产品/服务时：（1）所填写或提交的包括公司名称、营业执照信息、姓名、性别、出生年月日、身份证号码、护照信息、电话号码、电子邮箱、地址（含邮政编码）、支付账号及（2）阿里云对服务过程的记录，包括您的账单、历史购买信息、咨询记录、报障记录以及排障过程等。
Your user account information shall include (1) the company name, business license information, name, gender, date of birth, ID card number, passport information, telephone number, email address, address (including postal code) and payment account number You fill in or submit; and (2) Alibaba Cloud’s records of the service process, including Your billing statements, purchase history, inquiry records, troubleshooting records and troubleshooting process, in each case, in Your logging in Your Alibaba Cloud account or ordering or using Alibaba Cloud Products/Services.
4.2.2 因收集您的用户账号信息是为了向您提供产品/服务及提升产品/服务质量的目的，为了实现这一目的，除非您和阿里云另行协商一致或在国家有关机关依法查询或调阅时，阿里云按照相关法律法规或政策文件要求提供配合，并向第三方或者行政、司法等机构披露，否则，阿里云仅将您的用户账号信息用于下列用途：
Your user account information is collected for the purpose of providing You with the Products/Services and improving the quality of the Products/Services. In order to achieve this purpose, except where You and Alibaba Cloud otherwise agree through negotiation, or Alibaba Cloud renders cooperation in accordance with relevant laws, regulations or policy documents and makes disclosure to a third-party or administrative, judicial or other authorities in the event that relevant state authorities inquire or access Your user account information in accordance with the law, Alibaba Cloud will use Your user account information only for the following purposes:
4.2.2.1 向您提供您使用的各项产品/服务，并维护、改进该等产品/服务；
Providing You with various Products/Services that You use, and maintaining and improving such Products/Services;
4.2.2.2 在符合相关法律法规的要求下，向您推荐您可能感兴趣的内容，包括但不限于向您发出产品和服务信息。
Subject to the requirements of relevant laws and regulations, recommending contents that may be of interest to You, including, without limitation, sending you information on products and services.
4.3 您理解并同意，为了及时响应您的帮助请求，保障云平台的整体安全，改进阿里云的产品/服务，阿里云将检测、浏览、记录您的产品/服务使用行为、递交的支持请求以及您数据的不安全特征等用户支持数据。用户支持数据不包括用户业务数据和用户账号信息。
You understand and agree that, in order to promptly respond to Your requests for help, safeguard the overall security of the Cloud Platform and improve the Products/Services provided by Alibaba Cloud, Alibaba Cloud will test, browse and record Your use of Products/Services, support requests made by You, insecure features of Your data and other user support data. User support data shall not include user business data and user account information.
4.4 除您与阿里云另行协商一致，阿里云在中华人民共和国境内的数据中心存储用户业务数据。阿里云恪守对用户的安全承诺，保护用户存储在中华人民共和国境内数据中心的数据。
Unless you otherwise reach consensus with Alibaba Cloud separately through negotiation, Alibaba Cloud stores business data of user in its data center located within the PRC jurisdiction.
5.知识产权
Intellectual Property Rights
5.1 在本条款项下一方向对方提供的任何资料、技术或技术支持、软件、服务等的知识产权均属于提供一方或其合法权利人所有；除提供方或合法权利人明示同意外，另一方无权复制、传播、转让、许可或提供他人使用上述知识成果，否则应承担相应的责任。
All the intellectual property rights to any information, technology, technical support, software and service provided by one Party to the other Party under these Terms shall be owned by the providing Party or its legal owner thereof. Unless otherwise expressly agreed by the providing Party or the legal owner, the other Party shall have no right to duplicate, disseminate, transfer, license or provide to others for use such intellectual achievements; otherwise, it shall bear liabilities therefor.
5.2 您应保证提供至阿里云的各项信息、上传至阿里云服务器上的全部数据、对阿里云服务的使用，以及使用阿里云服务所产生的相应成果不会侵犯任何第三方的合法权益；如有第三方就您所提供、上传或使用的信息、数据或就您的行为及工作成果向阿里云提起任何投诉、索赔、诉讼或其他类型的诉求,则您理解并确认，您立即出面解决，并应赔偿阿里云因此遭受的全部直接经济损失，包括但不限于各种费用、赔偿支出等。
You shall ensure that none of the information provided to Alibaba Cloud, data uploaded to Alibaba Cloud’s server, Your use of Alibaba Cloud service and corresponding products generated from the use of Alibaba Cloud service will infringe upon the legitimate rights and interests of any third-party. If a third-party files any complaint, claim, litigation or other type of action against Alibaba Cloud with respect to the information or data provided, uploaded or used by You or to Your act and work products, You understand and acknowledge that You shall immediately act to resolve the matter and indemnify Alibaba Cloud for all direct economic losses, including, without limitation, all costs, indemnities and expenses, suffered as a result thereof.
5.3如果第三方机构或个人对阿里云产品/服务的知识产权归属提出质疑或投诉，您应及时告知阿里云，阿里云将进行处理。如果第三方机构或个人对您使用阿里云产品/服务所涉及的相关素材的知识产权归属提出质疑或投诉，您有责任出具相关知识产权证明材料，并配合阿里云进行的相关处理工作。
If a third-party organization or individual challenges or makes a complaint with respect to the ownership of the intellectual property rights to Alibaba Cloud Products/Services, You shall promptly notify Alibaba Cloud, and Alibaba Cloud will deal with such challenge or complaint. If a third-party organization or individual challenges or makes a complaint with respect to the ownership of the intellectual property rights to relevant materials involved in Your use of Alibaba Cloud Products/Services, You are responsible for presenting relevant documentary evidence for intellectual property rights and cooperate with Alibaba Cloud in dealing with the same.
6.保密条款
Confidentiality
6.1本条款所称保密信息，是指一方（以下简称“接受方”）从对方（以下简称“披露方”）取得的、获知的、或因双方履行本条款而产生的商业秘密（包括财务秘密）、技术秘密、经营诀窍和（或）其他应予保密的信息和资料（包括但不限于产品资料，产品计划，价格，财务及营销规划，业务战略，客户信息，客户数据，研发，软件硬件，API应用数据接口，技术说明，设计，特殊公式，特殊算法等），无论上述信息和资料以何种形式或载于何种载体，无论披露方在披露时是否以口头、图像或书面等方式表明其具有保密性。
The term Confidential Information used in these Terms shall mean the trade secrets (including financial secrets), know-how, business know-how and/or other information and data (including, without limitation, product data, product plan, price, financial and marketing planning, business strategy, customer information, customer data, research and development, software and hardware, API application data interfaces, technical specifications, designs, special formulas, special algorithms, etc.) that a Party (the “Receiving Party”) receives or learns from the other Party (the “Disclosing Party”) or that is generated in connection with the performance of these Terms by the Parties, regardless of the form or medium in which the above information and data are carried, and regardless of whether the Disclosing Party has indicated the confidentiality of such information and data orally, pictorially, in writing or otherwise at the time of disclosure.
6.2 双方应采取适当措施妥善保存对方提供的保密信息，措施的审慎程度不少于其保护自身的保密信息时的审慎程度。双方仅能将保密信息用于与本条款项下的有关用途或目的。
The Parties shall take appropriate measures to properly keep confidential the Confidential Information provided by the other Party with the degree of care not less than the degree of care used to protect its own Confidential Information. Each Party shall use the Confidential Information only for the uses and purposes set forth under these Terms.
6.3 双方保证保密信息仅可在各自一方从事该业务的负责人和雇员范围内知悉，并严格限制接触上述保密信息的员工遵守本条之保密义务。
The Parties shall ensure that the Confidential Information will be known only to their persons-in-charge and employees engaged in such business, and shall strictly subject the employees having access to such Confidential Information to the confidentiality obligation set forth in this Clause.
6.4 本条上述限制条款不适用于以下情况：
The above limitations in this Clause shall not apply to the following circumstances:
6.4.1 在签署本条款之时或之前，该保密信息已以合法方式属接受方所有；
The Confidential Information is already in the possession of the Receiving Party in a lawful manner prior to or upon the execution of these Terms;
6.4.2 保密信息在通知给接受方时，已经公开或能从公开领域获得；
The Confidential Information has been made public or is available in the public domain at the time of its disclosure to the Receiving Party;
6.4.3 保密信息是接受方从与其没有保密或不透露义务的第三方获得的；
The Confidential Information is obtained by the Receiving Party from a third-party which is under no confidentiality or nondisclosure obligation due to the Receiving Party;
6.4.4 在不违反本条款约定责任的前提下，该保密信息已经公开或能从公开领域获得；
The Confidential Information has been made public or is available in the public domain without prejudice to the duties set forth under these Terms;
6.4.5 该保密信息是接受方或其关联或附属公司独立开发，而且未从披露方或其关联或附属公司获得的信息中获益；
The Confidential Information is independently developed by the Receiving Party or any of its affiliates or subsidiaries, and without the benefit of any information obtained from the Disclosing Party or any of its affiliates or subsidiaries;
6.4.6 接受方应法院或其它法律、行政管理部门要求（通过口头提问、询问、要求资料或文件、传唤、民事或刑事调查或其他程序）因而透露保密信息；
The Receiving Party is required by a court or any other law enforcement or administrative authority (by verbal question, inquiry, request for information or documents, subpoena, civil or criminal investigation or any other procedure) to disclose the Confidential Information;
6.4.7 接受方为向行政管理部门、行业协会等机构申请某项业务资质、获得某项认定、或符合国家、行业标准/认证，需结合对方情况向前述机构提交材料或进行说明的而披露的信息，在该等情况下，接受方应秉持必要情况下最少披露原则及要求因此获知保密信息的机构按不低于本条款的标准予以保密。
In order to apply for certain business qualification, obtain certain accreditation, or meet/obtain any national or industry standards/certification, from any administrative authority, trade association or other authorities, the Receiving Party may be required to disclose information to such authorities, in submitting documents or making explanations to such authorities, in light of the actualities of the other Party. In such case, the Receiving Party shall adhere to the principle of minimum disclosure to the extent necessary and require the authorities that receive the Confidential Information as a result to keep such information confidential in accordance with the standards no less stringent than those set forth in these Terms.
6.5 您和阿里云都应尽最大的努力保护上述保密信息不被披露。一旦发现有上述保密信息泄露事件，双方应合作采取一切合理措施避免或者减轻损害后果的产生。如因此给对方造成损失的，应赔偿因此给对方造成的直接经济损失。
You and Alibaba Cloud shall both use best efforts to protect the Confidential Information from disclosure. Upon discovery of leakage of the Confidential Information, the Parties shall cooperate to take all reasonable measures to avoid or mitigate damages. Each Party shall indemnify the other Party for the direct economic losses, if any, caused as a result thereof.
7. 服务的开通、变更与终止
Activating, Changing and Termination of Services
7.1 您可通过您的阿里云账号或通过API方式开通、使用服务。
You may active and use Services using your Alibaba Cloud account or through API.
7.2 以包年/包月或资源包/套餐包形式售卖的产品/服务：
Products/Services sold in yearly/monthly package or resource pack/set packing:
7.2.1 除非另有其他约定，您付费后，服务即开通，开通后您获得阿里云向您发送的登录、使用产品/服务的密钥、口令即可使用产品/服务，服务期限自开通之时起算（而非自您获得登录、使用产品/服务的密钥、口令时起算）。
Unless otherwise agreed, Services will be available upon your payment of relevant fees. You may use Products/Services upon receipt of the key or password for login or using Products/Services from Alibaba Cloud. The service period shall be from the time when Services are activated, but not when You receive the key or password for login or using Products/Services).
7.2.2 以包年/包月形式售卖的产品/服务，服务期限至订购的期限届满为止；以资源包/套餐包形式售卖的产品/服务，服务期限则至您订购的资源包服务期限到期或资源包中的产品/服务被使用完毕为止（以前述二者早发生为准）。
For Products/Services sold in yearly/monthly package, the service period shall end at the expiration of the period that You purchase; and for Products/Services sold in resource pack/set packing, the service period shall end at the expiration of the service period of the resource pack that You purchase or when the Products/Services in the resource pack are used up, whichever is earlier.
7.2.3 服务期限届满前，若您无理由擅自退订相应产品/服务，阿里云有权采取恢复官网价格计费、收取违约金或收取退订/退款手续费等方式进行处理，以相应官网展示页面或相应订单中载明的方式为准。
Before the expiration of the service period, if You cancel the subscription of the relevant Products/Services without any reason, Alibaba Cloud shall have the right to charge based on the prices listed on the website, charge liquidated damages or charge service fees for cancellation/refund, in each case, subject to the method set forth on the relevant official website page or in the relevant order.
7.2.4 您应在服务期限内将资源包的产品/服务数量使用完毕，如资源包的服务期限届满，您已订购但未使用完毕的产品/服务将被作废且阿里云将不提供其他替代或补充。您对于产品/服务的使用将优先消耗订购的资源包，除法定及双方另行约定外，如资源包中的各项产品/服务使用完毕或者服务期限到期，且您未继续订购资源包产品/服务但持续使用该等产品/服务的，阿里云将视为您使用阿里云以按量形式售卖的产品/服务，阿里云将持续计费并根据计费结果予以扣划服务费用。
You shall use all Products/Services in the resource pack during the service period. Upon the expiration of the service period of the resource pack, the Products/Services that You purchase but are not used up shall become unavailable, and Alibaba Cloud will not provide other replacement or supplement. Products/Services in the resource pack that You purchase will be used first. Unless otherwise required by laws and agreed by the Parties, if Products/Services in the resource pack are all used up or the service period expires, and You do not further purchase a resource pack of Products/Services but keep using such Products/Services, Alibaba Cloud will deem that You use Products/Services of Alibaba Cloud sold by volume, and Alibaba Cloud will keep billing and deduct service fees based on the billing results.
7.3 以按量付费形式售卖的产品/服务：
Paid Products/Services sold by volume:
除非另有其他约定，或您未结清其他应付款项的，您开通服务即可使用阿里云的产品/服务；您应确保您的账号余额充足，以便持续使用阿里云的产品/服务。
Unless otherwise agreed or if You have not paid any other amounts payable, You may use Alibaba Cloud Products/Services when You activate them. You shall ensure that the balance in your account is sufficient to use Alibaba Cloud Products/Services.
7.4 发生下列情形之一的，服务期限提前终止：
Upon the occurrence of any of the following events, the service period shall be early terminated:
7.4.1 双方协商一致提前终止的；
If it is early terminated upon mutual agreement of the Parties;
7.4.2 您严重违反相关法律法规规定，或您严重违反本条款项下之任一承诺内容、或您严重违反具体产品服务条款中的约定义务（例如付款义务）的，阿里云有权提前终止服务直至清除您的全部数据；
If You are in material violation of any applicable laws and regulations, or You are in material breach of any covenants hereunder, or You are in material breach of any obligations set forth in the terms for specific products and services, e.g., obligation of payment, Alibaba Cloud shall have the right to early terminate the Services up to deleting all of your data;
7.4.3 您理解并充分认可，虽然阿里云已经建立（并将根据技术的发展不断完善）必要的技术措施来防御包括计算机病毒、网络入侵和攻击破坏（包括但不限于DDoS）等危害网络安全事项或行为（以下统称该等行为），但鉴于网络安全技术的局限性、相对性以及该等行为的不可预见性，因此如因您网站遭遇该等行为而给阿里云或者阿里云的其他网络或服务器（包括但不限于本地及外地和国际的网络、服务器等）带来危害，或影响阿里云与国际互联网或者阿里云与特定网络、服务器及阿里云内部的通畅联系，阿里云可决定暂停或终止服务。如果终止服务的，将按照实际提供服务月份计算（不足一个月的按天计）服务费用，将剩余款项（如有）返还；
You understand and fully acknowledge that, although Alibaba Cloud has established (and will keep improving based on technical development) necessary technical measures to prevent computer viruses, network intrusion, network attack (including but not limited to DDoS) and other actions endangering network security (collectively as the “Actions"). In the event that, in view of the limitations and relativity of network security technology and unpredictability of the Actions, the Actions occur to your website, endangering Alibaba Cloud or any other network or server of Alibaba Cloud (including but not limited to local, offsite and international networks, servers etc.), or causing an impact on good communication between Alibaba Cloud and the Internet or between Alibaba Cloud and specific networks or servers and internally in Alibaba Cloud, Alibaba Cloud may decide to suspend or terminate the Services. If the Services are terminated, the service fees shall be calculated based on the number of months during which the Services are actually provided (calculated on a daily basis for any period less than one month) and the remaining amount (if any) will be refunded;
7.4.4 您认可并同意，为技术升级、服务体系调整或经营策略调整等需要，阿里云保留通过提前30天在阿里云官网（www.aliyun.com）上发布公告、发站内通知或邮件通知等方式，暂停或终止向您提供部分产品/服务（或服务中的相应功能）的权利；届时阿里云将及时结算相关费用，并退还您已支付但未消费的款项。
You acknowledge and agree that, for technology upgrading, system adjustment, business strategy adjustment and other purposes, Alibaba Cloud reserves the right to suspend or terminate the provision of certain Products/Services (or certain functions of Services) to You by posting a public announcement on the official website of Alibaba Cloud (www.aliyun.com), or publishing an on-site notice or giving a notice by email 30 days in advance; and Alibaba Cloud will settle the relevant fees without delay and refund the amounts that You have paid but not used.
8. 反贿赂反腐败合规
Anti-bribery and Anti-corruption Compliance
8.1双方均清楚并愿意严格遵守中华人民共和国和其他可能适用的任何其他国家或地区的反贿赂反腐败的法律、法规和相关国际公约以及双方公司关于反贿赂反腐败的政策要求（以下称“适用规定”）的规定，包括但不限于中国的反贿赂反腐败法律和法规，美国《反海外腐败法》以及英国《反贿赂法案》等。
The Parties are aware of, and willing to strictly comply with, the anti-bribery and anti-corruption laws and regulations of the People's Republic of China and of any other countries or regions and applicable international conventions and the policies and requirements regarding anti-bribery and anti-corruption of the Parties (the "Applicable Rules"), including but not limited to anti-bribery and anti-corruption laws and regulations of the PRC, the US Foreign Corrupt Practices Actand the UK Bribery Act.
8.2 任何一方绝不会出于帮助自己或对方获得或保留业务、谋求交易机会或竞争优势、获取任何不正当利益的目的，以直接或间接的方式，向任何政府机构、公司、企业、及其它组织和团体、国家工作人员、非国家工作人员提出给付、给付、承诺给付或授权给付任何“有价值之物”，或采取其他违反适用规定的行为。
Either Party will never offer, give, promise to give or authorize the giving of any "thing of value" to any government authority, company, enterprise or other organization or association, public servant or non-public servant, directly or indirectly, for the purpose of assisting itself or the other Party to obtain or retain business, pursue business opportunities or competitive advantage or obtain any improper benefits, or otherwise carry out any other actions in violation of the Applicable Rules.
8.3 任何一方如获知发生或怀疑发生违反前述规定的事项时，均有义务举报有关人员及行为。
If either Party is aware of or suspects any occurrence of any violation of the foregoing provisions, such Party shall report on the persons and activities involved.
8.4 任意一方违反以上承诺，则视为对合同的根本违约，守约方有权以书面通知形式立即解除本合同。因合同解除对双方造成的损失，由违约方承担。
If either Party is in violation of the covenants above, such Party shall be deemed to have committed a material breach hereunder, and the non-breaching party shall have the right to immediately terminate this Agreement by giving a written notice. The breaching party shall be liable for losses suffered by the Parties as a result of such termination.
8.5 有关人员的商业贿赂或腐败行为构成犯罪的，移交司法机关处理，各方应积极配合调查处理。
If any person commits any act of commercial bribery or corruption which constitutes a criminal offence, he/she will be submitted to the competent judicial authority, and the Parties shall cooperate with investigation.
9.违约责任
Liability for Breach
9.1本条款任何一方违约均应依据本条款约定承担违约责任。
Either Party who breaches these Terms shall bear the liability for breach in accordance with these Terms.
9.2如因阿里云过错导致产品/服务不可用，阿里云将按照相应产品/服务所对应的《服务等级协议（SLA）》的约定进行补偿。
If the Products/Services are unavailable due to Alibaba Cloud’s fault, Alibaba Cloud will compensate You in accordance with the Service Level Agreement (SLA) for the corresponding Products/Services.
9.3 您理解，鉴于计算机、互联网的特殊性，下述情况亦不属于阿里云违约：
You understand that, in view of the particularity of computer and the Internet, the following circumstances shall not be deemed as Alibaba Cloud’s breach:
9.3.1 阿里云在进行服务器配置、维护时，需要短时间中断服务；
Alibaba Cloud needs to suspend services for a short period of time for server configuration and maintenance;
9.3.2 由于Internet上的通路阻塞造成您网站访问、应用或服务运行等的速度下降。
The speed of Your access to website or running of applications or services declines due to Internet traffic jam.
9.4 在适用法律允许的范围内，任何一方均不对另一方任何间接性、惩戒性的损害（包括利润、收入、客户、商业机会、商誉的损失或损害等）承担责任，即使一方已被告知该等损害发生的可能性。
To the extent permitted by the applicable laws, neither Party shall be liable to the other Party for any indirect or punitive damages (including loss of or damage to profits, revenue, customers, business opportunities, or goodwill), even if such Party has been advised of the possibility of such damages.
9.5 阿里云对您所承担的违约赔偿责任总额不超过违约行为发生时过往12个自然月您就该违约行为所对应的产品/服务已支付的服务费用总额。
The aggregate liability of Alibaba Cloud to You for breach shall not exceed the total amount of service fees already paid by You for the Products/Services involved in the breach in the twelve months immediately preceding the occurrence of such breach.
10.测试及免费试用产品/服务的责任限制及免除
Limitation and Exemption of Liability for Testing and Free Trial Products/Services
您应理解并同意，阿里云在对产品/服务进行公测、邀测等您免费试（使）用产品/服务期间或免费产品/服务额度内，虽然阿里云会对产品/服务可用性和可靠性提供支撑，但阿里云将不对任何产品/服务可用性、可靠性做出承诺；阿里云亦不对您使用或不能使用阿里云产品/服务的工作或结果承担任何责任。
You shall understand and agree that, during the period of free trial (use) of Products/Services offered by Alibaba Cloud such as open beta test and invited test of the Products/Services or within the quota of free Products/Services, Alibaba Cloud makes no commitment on the usability or reliability of any Products/Services notwithstanding its support of the usability and reliability of Products/Services, nor shall Alibaba Cloud be liable for Your work or outcomes arising from Your use or inability to use Alibaba Cloud Products/Services.
11.不可抗力
Force Majeure
11.1 因不可抗力，使得本条款的履行不可能、不必要或者无意义的，遭受不可抗力的一方不承担责任。双方应及时采取合理措施限制不可抗力对任何一方产生的影响。
If the performance of these Terms becomes impossible, unnecessary or meaningless due to Force Majeure, the Party suffering such Force Majeure shall not bear any liability. The Parties shall take reasonable measures in a timely manner to mitigate the impact of the Force Majeure on either Party.
11.2 本协议项下所述“不可抗力”是指协议一方在尽到其应尽的审慎勤勉义务后仍无法避免及克服之情形，包括天灾、事故、爆炸、火灾、风暴、地震、洪水及由包括但不限于美国政府（包括美国财政部、美国财政部下属海外资产管理办公室、美国商务部、美国国务院），联合国安全理事会，欧盟，英国财政部所实施的制裁、禁令及限制性规则（下统称“制裁”），及其他不能预见、不能避免并不能克服的客观情况，例如电信主干线路中断、黑客、网络堵塞、电信部门技术调整等意外事件。
For the purposes of this Agreement, “Force Majeure” means any circumstance that a Party to this Agreement cannot avoid and overcome by exercising due diligence and care, including act of God, accident, explosion, fire, storm, earthquake, flood and sanctions, embargoes and restrictions administered by the U.S. government (including the U.S. Department of the Treasury, the U.S. Department of the Treasury Office of Foreign Assets Control, the U.S. Department of Commerce and the U.S. Department of State), the United Nations Security Council, the European Union, and Her Majesty’s Treasury (collectively, the “Sanctions”), and other unforeseeable, unavoidable, and insurmountable objective circumstances, such as interruption of telecommunication trunk line, hacking, Internet traffic jam, technological adjustment by telecommunication authorityand other unexpected incident.
12.法律适用及争议解决
Governing Law and Dispute Resolution
12.1 本条款的订立、执行和解释及争议的解决均受中华人民共和国法律管辖。
The establishment, implementation and interpretation of and the resolution of disputes under these Terms shall be governed by the laws of the People's Republic of China.
12.2 在执行本条款过程中如发生纠纷，双方应及时协商解决。阿里云向您提供在线投诉反馈（https://www.aliyun.com/connect/complaint），以及邮件投诉反馈（tousu.aliyun@service.aliyun.com）、移动端二维码投诉反馈等多种投诉渠道，以便双方及时协商处理，保障客户权益。协商不成时，任何一方可直接向杭州市西湖区人民法院提起诉讼。
All disputes arising from the implementation of these Terms shall be resolved by the Parties through consultation in a timely manner. Alibaba Cloud provides You with various complaint channels. You may submit your compliant or feedback online https://www.aliyun.com/connect/complaint), by email (tousu.aliyun@service.aliyun.com) or by scanning the QR code via the mobile terminal, so that the Parties may resolve the same through consultation in a timely manner to protect the rights and interests of the customer. If such consultation fails, either Party may file a lawsuit directly to the People’s Court of Xihu District, Hangzhou.
12.3 对于您因使用阿里云相关产品/服务引起的任何纠纷，您同意司法机关（包括但不限于人民法院）可以通过手机短信、电子邮件等现代通讯方式或邮寄方式向您送达法律文书（包括但不限于诉讼文书）。司法机关向您指定接收法律文书的手机号码、电子邮箱等联系方式发出法律文书即视为送达。您指定的邮寄地址为您的法定联系地址或您提供的有效联系地址。
You agree that judicial authorities (including but not limited to the people's court) may serve legal documents (including but not limited to litigation documents) on You by SMS, email or other modern communication means or by mail, if any dispute arises from Your use of Alibaba Cloud Products/Services. Legal documents shall be deemed to have been served if they are sent by judicial authorities to Your mobile phone number, email address or other contact information designated by You for the receipt of legal documents. The mailing address designated by You shall be Your legal correspondence address or a valid correspondence address provided by You.
12.3.1您同意司法机关可采取上一种或多种送达方式向您送达法律文书，司法机关采取多种方式向您送达法律文书，送达时间以上述送达方式中最先送达的为准。
You agree that judicial authorities may serve legal documents on you by one or more of the methods mentioned above. Where judicial authorities serve legal documents by more than one method, the service time shall be the earliest time of service by the above methods.
12.3.2 您同意上述送达方式适用于各个司法程序阶段。如进入诉讼程序的，包括但不限于一审、二审、再审、执行以及督促程序等。
You agree that the above methods of service shall be applicable to all stages of judicial proceedings, including but not limited to the proceedings of first instance, second instance, retrial, enforcement and supervision if litigation proceedings are commenced.
12.3.3 您应当保证提供的联系方式是准确、有效的，并进行实时更新。如果因提供的联系方式不确切，或不及时告知变更后的联系方式，使法律文书无法送达或未及时送达，由您自行承担由此可能产生的法律后果。
You shall ensure that the contact information You provide is accurate and valid and will be updated in real time. If the legal documents cannot be served or cannot be served in a timely manner due to any inaccuracy in the contact information provided by You or Your failure to inform Alibaba Cloud of the changed contact information in a timely manner, You shall be solely responsible for the potential legal consequences arising therefrom.

13.1 阿里云在阿里云官网（www.aliyun.com）相关页面上的服务说明、价格说明、您所订购的产品对应的《服务等级协议 (SLA)》和您确认同意的订购页面（包括特定产品的专用条款、服务说明、操作文档等）均为本条款不可分割的一部分。如果阿里云官网（www.aliyun.com）相关页面上的服务说明、价格说明和您确认同意的订购页面与本条款有不一致之处，以（1）服务说明、价格说明、其他订购页面，（2）专用条款、您所订购的产品对应的《服务等级协议 (SLA)》，（3）本条款的顺序予以适用。
The service description and price description of Alibaba Cloud on relevant pages of the official website of Alibaba Cloud (www.aliyun.com), the Service Level Agreement (SLA) for the products You order and the ordering pages that You acknowledge and agree to (including special terms, service description and operation documentation for specific products) shall be an integral part of these Terms. In case of any discrepancy between the service description and price description on relevant pages of the official website of Alibaba Cloud (www.aliyun.com), the ordering pages that You acknowledge and agree to and these Terms, they shall apply in the following order: (1) service description, price description and other ordering pages, (2) the Special Terms, and the Service Level Agreement (SLA) for the products You order, and (3) these Terms.
13.2 双方承诺遵守本合同所适用的联合国、中国、美国以及其他国家出口管制和制裁法律法规。您承诺不会将阿里云提供的产品或服务用于适用的出口管制和制裁法律法规禁止的用途。非经相关主管机关许可，您及您授权使用阿里云产品或服务的其他个人或实体不会向适用的出口管制和制裁法律法规禁止的实体或个人提供阿里云产品或服务。
The Parties undertake to comply with the export control and sanction laws and regulations of the United Nations, the PRC, the US and other countries that are applicable to this Agreement. You undertake that You will not use the products or services provided by Alibaba Cloud for purposes prohibited by applicable export control and sanction laws and regulations. You and other individuals or entities that You authorize to use Alibaba Cloud products or services will not provide Alibaba Cloud products or services to any entity or individual prohibited by applicable export control and sanction laws and regulations, without the permission of relevant competent authorities.
13.3 阿里云有权通过提前30天在阿里云官网（www.aliyun.com）上发布公告、发站内通知或邮件通知等方式将本条款的权利义务全部或者部分转移给阿里云的关联公司，您可获得服务的质量不会因此而降低。
Alibaba Cloud shall have the right to assign the rights and obligations under these Terms in whole or in part to its affiliate by publishing an announcement on the official website of Alibaba Cloud (www.aliyun.com), or sending a system message or email, or by any other means 30 days in advance, which will not lower the quality of services available to You.
13.4 本条款项下之保证条款、保密条款、知识产权条款、法律适用及争议解决条款等内容，不因本条款的终止而失效。
The provisions of these Terms concerning warranties, confidentiality, intellectual property, governing law and dispute resolution shall survive the termination of these Terms.

Appendix 3 Specific Terms of SFDC China Products
在不影响《阿里云产品及服务条款》一般适用性的情况下，双方进一步同意并承诺，SFDC中国产品的购买和使用均须遵守以下规定的附加专用条款与条件。
“SFDC 中国产品” 是指由您通过订单和在线购买门户订购、或免费（如适用）、或通过免费试用提供给您的，由阿里云提供的以“SFDC 中国产品”名义销售的产品和服务，包括文件中关联的阿里云离线或移动组件。“SFDC 中国产品”不包括非阿里应用程序的内容。
“内容”是指阿里云从公开来源或其第三方内容提供商获得并通过SFDC 中国产品、测试版服务或根据订单向您提供的任何信息。
“订单”是指阿里云与您或其任何关联公司之间根据本协议提供的订购文件，包括其任何附录和补充（该模板作为附件附在本附录 3 中）。
Without limiting the generality of the Terms of Alibaba Cloud Products and Services, the Parties further agree and undertake that the purchase and use of SFDC China Products are subject to the additional specific terms and conditions set forth hereunder. “SFDC China Products” means the products and services marketed as “SFDC China Products” that are ordered by You under an Order Form and online purchasing portal, or provided to You free of charge (as applicable) or under a free trial, and made available online by Alibaba Cloud, including associated Alibaba Cloud offline or mobile components, as described in the Documentation. “SFDC China Products” exclude Content Non-Alibaba Applications. “Content” means any information obtained by Alibaba Cloud from publicly available sources or its third-party content providers and made available to You through SFDC China Products, beta services or pursuant to an Order Form. “Order Form” means an ordering document to be provided hereunder that is entered into between Alibaba Cloud and You or any of their affiliates, including any addenda and supplements thereto (which template is attached to this Appendix 3 as an attachment.)
1. 阿里云责任。
Alibaba Cloud Responsibilities.
1.1 客户数据保护与数据安全。 您同意并认可，阿里云将采取合适的管理、物理及技术保障措施，以确保由您本人或他人代您向您所订购的SFDC中国产品提交的电子数据及信息（以下简称为“客户数据”）的安全性、保密性和完整性，此类保障措施须遵守相关适用法律和适用SFDC中国产品的文件（见https://help.aliyun.com/document_detail/2533200.html）及其使用指南与政策（不定期更新）（以下简称为“文件”）。
Protection of Customer Data and Data Security. You agree and acknowledge that Alibaba Cloud will maintain appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of electronic data and information submitted by or for You to SFDC China Products ordered by You (hereinafter referred to as “Customer Data”) in accordance with relevant applicable laws and the applicable SFDC China Products’ documentation at https://help.aliyun.com/document_detail/2533200.html, and its usage guides and policies (as updated from time to time) (collectively hereinafter referred to as “Documentation”).
1.2 测试版服务。 阿里云可能会不定期向您提供免费测试版服务。 您可以自行决定是否试用该等测试版服务。 使用SFDC中国产品相关测试版服务时须遵守文件及测试版服务的条款，详见官网页面。您同意并认可，（a）该等测试版服务仅用于测试产品功能与集成性，您不应向测试版服务导入或上传任何客户数据（包括任何个人信息）及任何实时终端用户数据，且（b）阿里云与Salesforce概不承担由任何测试版服务引起的或与之相关的责任。
Beta Services. From time to time, Alibaba Cloud may make beta services available to You at no charge.You may choose to try such beta services or not in its sole discretion. Any use of beta services in relation to SFDC China Products is subject to the Documentation and beta services terms on Alibaba Cloud official website. You agree and acknowledge that, (a) such beta services are only provided for testing of functionality and integration, and that You shall not import or upload any Customer Data (including any personal information) and any live end-user data to the beta services, and (b) neither Alibaba Cloud nor Salesforce will have any liability arising out of, or in connection with any beta services.
1.3技术支持。 您同意并认可，阿里云将为SFDC中国产品提供技术支持。
Technical Support. You agree and acknowledge that Alibaba Cloud will provide all technical support for SFDC China Products.
2. 使用SFDC中国产品与内容。
Use of SFDC China Products and Content.
2.1 订阅。 除非在阿里云与您或任何关联公司签订的具体说明本协议项下将提供的SFDC中国产品的适用订购文件或在线订单（包括其任何附件和补充）（以下简称为“订购单”，其模板详见本 附件3的附件A），或文件中另有规定，否则（a）在适用订购单规定的有效期内，您可以订阅形式购买SFDC中国产品和内容的访问权限；（b）可在订阅有效期内以与基础订阅相同的价格添加订阅，并根据在添加订阅时的订阅期限剩余部分按比例收取订阅费用，以及（c）所添加的任何订阅将与基础订阅于同一日期终止。 您同意，您的订购不取决于任何未来功能或特性的交付，也不取决于阿里云就未来功能或特性发表的任何口头或书面的公开评论。 此外，您同意并认可，阿里云和/或Salesforce可不定期修改SFDC中国产品（或其中任何部分）及任何SFDC中国产品相关功能，包括根据任何适用法律和/或监管要求作出的修改。
Subscriptions. Unless otherwise provided in the applicable ordering documents or online orders specifying the SFDC China Products to be provided hereunder that is entered into between Alibaba Cloud and You or any of their affiliates, including any addenda and supplements thereto (hereinafter referred to as “Order Forms” which the template is attached to this Appendix 3 as an attachment) or Documentation, (a) SFDC China Products and access to any Content are purchased as subscriptions for the term stated in the applicable Order Form, (b) subscriptions may be added during a subscription term at the same pricing as the underlying subscription pricing, prorated for the portion of that subscription term remaining at the time the subscriptions are added, and (c) any added subscriptions will terminate on the same date as the underlying subscriptions. You agree that your purchases are not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by Alibaba Cloud regarding future functionality or features. You further agree and acknowledge that SFDC China Products (or any part thereof), including any of SFDC China Products’ associated functionalities, may be modified by Alibaba Cloud and/or Salesforce from time to time, including for compliance with any applicable laws and/or regulatory requirements.
2.2 使用范围。 SFDC中国产品及内容受订购单及文件所述使用范围的约束。 如果您超出了合同规定的使用范围，阿里云可与您研究如何减少使用，以符合该范围的规定。尽管阿里云做出努力，但如果您无法或不愿意遵守合同规定的使用范围，则应在阿里云提出要求后，立即就适用SFDC中国产品或内容的额外数量签署订购单，和/或就任何超额使用支付费用。
Usage Limits. SFDC China Products and Content are subject to usage limits specified in Order Forms and Documentation. If You exceed a contractual usage limit, Alibaba Cloud may work with You to seek to reduce your usage so that it conforms to that limit. If, notwithstanding Alibaba Cloud’s efforts, You are unable or unwilling to abide by a contractual usage limit, You will execute an Order Form for additional quantities of the applicable SFDC China Products or Content promptly upon Alibaba Cloud’s request, and/or pay any invoice for excess usage.
2.3客户责任。 您将（a）负责确保用户遵守本协议、文件以及订购单；（b）对客户数据的准确性、质量及合法性、获取客户数据的方式、在SFDC中国产品上的客户数据使用负责，并且，对于在使用SFDC中国产品或内容时所涉及的由您或第三方提供的网页式应用程序、移动应用程序、离线应用程序或其他软件应用程序功能（以下简称为“非阿里应用程序”），须对其与SFDC中国产品进行的互操作负责；（c）尽商业上合理的努力防止发生未经授权访问或使用SFDC中国产品及内容的情况，并在发生此类未经授权的访问或使用时立即通知阿里云，以及（d）按照文件、“可接受使用与对外服务政策”（详见https://help.aliyun.com/product/380932.html）和订购单使用SFDC中国产品。 以及（e）遵守使用SFDC中国产品或内容时所涉及的任何非阿里应用程序的服务条款。如果您或用户在使用SFDC中国产品时违反前述规定，且阿里云认为该行为对阿里云服务的安全性、完整性或可用性造成威胁，则此类违约行为可导致阿里云立即中断提供SFDC中国产品。但是，在此情况下，阿里云将尽商业上合理的努力提前通知您，并且为您提供补救此类违约或威胁行为的机会。
Customer Responsibilities. You will (a) be responsible for Users’ compliance with this Agreement, Documentation and Order Forms, (b) be responsible for the accuracy, quality and legality of Customer Data, the means by which You acquire Customer Data, your use of Customer Data with SFDC China Products, and the interoperation of any web-based, mobile, offline or other software application functionality that interoperates with a SFDC Product, that is provided by You or a third-party (hereinafter referred to as “Non-Alibaba Applications”) with which You use SFDC China Products or Content, (c) use commercially reasonable endeavors to prevent unauthorized access to or use of SFDC China Products and Content, and notify Alibaba Cloud promptly of any such unauthorized access or use, and (d) use SFDC China Products in accordance with Documentation, the Acceptable Use and External Facing Services Policy at https://help.aliyun.com/product/380932.html, and Order Forms. and (e) comply with terms of service of any Non-Alibaba Applications with which You use SFDC China Products or Content. Any use of SFDC China Products in breach of the foregoing by You or Users that in Alibaba Cloud’s judgment threatens the security, integrity or availability of Alibaba Cloud’s services, may result in Alibaba Cloud’s immediate suspension of SFDC China Products, however Alibaba Cloud will use commercially reasonable endeavors under the circumstances to provide You with notice and an opportunity to remedy such violation or threat prior to any such suspension.
2.4 使用限制。 您不得（a）向除您或用户外的任何人员提供任何SFDC中国产品或内容，或者出于除您或关联公司外的任何人员的利益使用任何SFDC中国产品或内容，除非订购单或文件另有说明；（b）出售、转售、授权、转授权、分发、提供、出租或租赁任何SFDC中国产品或内容，或在服务机构或外包产品中提供任何SFDC中国产品或内容；（c）使用SFDC中国产品或非阿里应用程序存储或传输违法、诽谤或其他非法或侵权资料，或者存储或传输侵犯第三方隐私权的资料；（d）使用SFDC中国产品或非阿里应用程序存储或传输恶意代码；（e）干扰或破坏任何SFDC中国产品或其中包含的第三方数据的完整性或性能；（f）试图在未经授权的情况下访问任何SFDC中国产品或内容或其相关系统或网络；（g）允许以规避合同所述使用范围的方式直接或间接访问或使用任何SFDC中国产品或内容，或在本协议、订购单或文件未允许的情况下，使用任何SFDC中国产品访问、复制或使用阿里云的知识产权；（h）修改、复制SFDC中国产品或其任何部分、特性、功能或用户界面，或创造其衍生作品；（i）在本协议或订购单或文件未允许的情况下，复制内容；（j）制定或镜像任何SFDC中国产品或内容的任何部分，但在您自己的内联网上或出于本身的内部商业目的或文件允许的制定情况除外；（k）除适用法律允许的范围外，反汇编、逆向或反编译SFDC中国产品或内容，或出于以下目的访问SFDC中国产品或内容：（1）开发竞争产品或服务；（2）使用与SFDC中国产品类似的概念、特性、功能或图表开发产品或服务；（3）抄袭SFDC中国产品的概念、特性、功能或图表或（4）确定SFDC中国产品是否属于任何专利范围内。
Usage Restrictions. You will not (a) make any SFDC China Products or Content available to anyone other than You or Users, or use any SFDC China Products or Content for the benefit of anyone other than You or your affiliates, unless expressly stated otherwise in an Order Form or the Documentation, (b) sell, resell, license, sublicense, distribute, make available, rent or lease any SFDC China Products or Content, or include any SFDC China Products or Content in a service bureau or outsourcing offering, (c) use a SFDC Product or Non-Alibaba Application to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, (d) use a SFDC Product or Non-Alibaba Application to store or transmit malicious code, (e) interfere with or disrupt the integrity or performance of any SFDC China Products or third-party data contained therein, (f) attempt to gain unauthorized access to any SFDC China Products or Content or its related systems or networks, (g) permit direct or indirect access to or use of any SFDC China Products or Content in a way that circumvents a contractual usage limit, or use any SFDC China Products to access, copy or use any of Alibaba Cloud’s intellectual property except as permitted under this Agreement, an Order Form, or the Documentation, (h) modify, copy, or create derivative works of a SFDC Product or any part, feature, function or user interface thereof, (i) copy Content except as permitted herein or in an Order Form or the Documentation, (j) frame or mirror any part of any SFDC China Products or Content, other than framing on your own intranets or otherwise for its own internal business purposes or as permitted in the Documentation, (k) except to the extent permitted by applicable law, disassemble, reverse engineer, or decompile a SFDC Product or Content or access it to (1) build a competitive product or service, (2) build a product or service using similar ideas, features, functions or graphics of SFDC China Products, (3) copy any ideas, features, functions or graphics of SFDC China Products, or (4) determine whether SFDC China Products are within the scope of any patent.
2.5 删除内容及非阿里应用程序。 如果您收到通知称，内容或非阿里应用程序已不可继续使用或必须被删除、修改和/或停用，以避免违反适用法律、第三方权利或“可接受使用与对外服务政策”，您应立即按照通知采取行动。 如果您未采取所要求的行动，包括按照上述要求删除您从SFDC中国产品下载的任何内容，或如果阿里云认为可能会再次发生违规行为，则阿里云可停用适用内容、SFDC中国产品和/或非阿里应用程序。 如果阿里云要求，您应以书面形式确认删除和停止使用该等内容和/或非阿里应用程序。阿里云应获得授权，可以向任何第三方索取人或政府部门（如适用）提供该等证明副本。 此外，如果任何第三方权利所有者要求阿里云删除内容，或阿里云收到有关您使用的内容可能违反适用法律或侵犯第三方权利的信息，阿里云可终止您通过SFDC中国产品访问内容的权利。
Removal of Content and Non-Alibaba Applications. If You receive notice that Content or a Non-Alibaba Application may no longer be used or must be removed, modified and/or disabled to avoid violating applicable law, third-party rights, or the Acceptable Use and External Facing Services Policy, You will promptly do so. If You do not take required action, including deleting any Content You may have downloaded from SFDC China Products, in accordance with the above, or if in Alibaba Cloud’s judgment continued violation is likely to reoccur, Alibaba Cloud may disable the applicable Content, SFDC China Products and/or Non-Alibaba Application. If requested by Alibaba Cloud, You shall confirm deletion and discontinuance of use of such Content and/or Non-Alibaba Application in writing and Alibaba Cloud shall be authorized to provide a copy of such confirmation to any such third-party claimant or governmental authority, as applicable.In addition, if Alibaba Cloud is required by any third-party rights holder to remove Content, or receives information that Content provided to You may violate applicable law or third-party rights, Alibaba Cloud may discontinue your access to Content through SFDC China Products.
2.6 地区限制。 除订购单或文件另有规定外，您声明SFDC中国产品的“SFDC中国数字化体验产品” 仅由其用户在中华人民共和国大陆地区（不含港澳台地区）使用，除此之外的其他SFDC中国产品仅由其用户在中华人民共和国（含港澳台地区）使用。
Territory Restrictions. Unless otherwise specified in the Order Form or Documentation, You represent that the "Salesforce China Digital Experience Products” in SFDC China Products shall only be used by its users in mainland China (excluding Hong Kong SAR, Macao SAR, and Taiwan), and other SFDC China products shall only be used by its users in China (including Hong Kong SAR, Macao SAR, and Taiwan).

MFA (Multi-factor Authentication) Requirement for Using the Covered Services. Starting February 1, 2022, Salesforce will begin requiring customers to enable Multi-Factor Authentication (MFA) for all Covered Services, unless otherwise approved by Salesforce in accordance with Salesforce internal policies and procedures. Customer must satisfy the MFA requirement by either: (1) enabling Multi-Factor Authentication for all users who log in to Customer’s Covered Services through the user interface or (2) ensuring MFA is enabled for all users who use Single Sign-On (SSO) to access Customer’s Covered Services, by using the SSO provider’s MFA services or, where supported, by turning MFA on in Salesforce products. Further information on MFA, including acceptable verification methods for MFA, can be found at https://help.salesforce.com/apex/HTViewSolution?urlname=Salesforce-Multi-Factor-Authentication-FAQ.

Non-Alibaba Products and Services.
3.1 非阿里产品及服务。 阿里云或第三方可能会提供第三方产品或服务，包括非阿里应用程序、实施以及其他咨询服务。 您对该等产品或服务的购买，以及您与任何非阿里提供商、产品或服务之间的数据交换，仅可在您与适用的非阿里提供商之间进行。 无论非阿里应用程序或其他非阿里产品或服务是否获得阿里云“认证”，阿里云均不对其提供保证或支持，但订购单中另有明确说明的情况除外。 阿里云对因通过此类非阿里应用程序或其提供商访问数据所引起的客户数据披露、修改或删除概不负责。
Non-Alibaba Products and Services. Alibaba Cloud or third parties may make available third-party products or services, including, for example, Non-Alibaba Applications and implementation and other consulting services. Any acquisition by You of such products or services, and any exchange of data between You and any non-Alibaba provider, product or service is solely between You and the applicable non-Alibaba provider. Alibaba Cloud does not warrant or support Non-Alibaba Applications or other non-Alibaba products or services, whether or not they are designated by Alibaba Cloud as “certified” or otherwise, unless expressly provided otherwise in an Order Form. Alibaba Cloud is not responsible for any disclosure, modification or deletion of Customer Data resulting from access by such Non-Alibaba Application or its provider.
3.2与非阿里应用程序集成。SFDC中国产品可能包含可与非阿里应用程序互操作的特性。 阿里云无法保证永久提供此类SFDC中国产品特性。如果非阿里应用程序提供商以阿里云可接受的方式，停止非阿里应用程序与相应SFDC中国产品特性的互操作（包括不限于上述情况），阿里云可停止提供此类SFDC中国产品特性，且不会向您提供任何退款、补偿或其他赔偿。
Integration with Non-Alibaba Applications. SFDC China Products may contain features designed to interoperate with Non-Alibaba Applications.Alibaba Cloud cannot guarantee the continued availability of such SFDC Product features, and may cease providing them without entitling You to any refund, credit, or other compensation, if for example and without limitation, the provider of a Non-Alibaba Application ceases to make the Non-Alibaba Application available for interoperation with the corresponding SFDC Product features in a manner acceptable to Alibaba Cloud.
4. 所有权与许可。
Proprietary Rights and Licenses.
4.1 权利保留。 您同意并认可，根据本协议明确授予的有限权利，阿里云及其关联公司保留其对SFDC中国产品的所有权利、所有权和利益，包括所有相关知识产权。 除本协议明确规定的权利外，未授予您任何权利。
Reservation of Rights. You agree and acknowledge that subject to the limited rights expressly granted hereunder, Alibaba Cloud, and/or its affiliates reserve all of their right, title and interest in and to SFDC China Products, including all of their related intellectual property rights. No rights are granted to you hereunder other than as expressly set forth herein.
4.2 内容访问与使用。 您有权根据适用订购单、本协议及文件的条款访问和使用适用内容。
Access to and Use of Content. You have the right to access and use applicable Content subject to the terms of applicable Order Forms, this Agreement and the Documentation.
4.3 您授予的许可。 您授予阿里云及其关联公司和适用合约商有限期限的全球许可，允许其托管、复制、使用、传输和展示由您或他人为了您使用SFDC中国产品或为了供您与SFDC中国产品配合使用而编写的任何非阿里应用程序与程序代码，以及客户数据，上述各项视阿里云根据本协议提供SFDC中国产品和相关系统并确保其正常操作的具体情况而定。 如果您选择将非阿里应用程序与SFDC中国产品一起使用，即表示您授权阿里云允许非阿里应用程序及其提供商访问客户数据以及与您使用非阿里应用程序相关的信息，具体信息视非阿里应用程序与SFDC中国产品的互操作而定。 除本协议授予的有限许可外，阿里云不得从您或其本协议下的许可方处获得对任何客户数据、非阿里应用程序或此类程序代码的权利、所有权或利益。
License by You. You grant Alibaba Cloud, its affiliates and applicable contractors a worldwide, limited-term license to host, copy, use, transmit, and display any Non-Alibaba Applications and program code created by or for You using a SFDC Product or for use by You with SFDC China Products, and Customer Data, each as appropriate for Alibaba Cloud to provide and ensure proper operation of, SFDC China Products and associated systems in accordance with this Agreement. If You choose to use a Non-Alibaba Application with a SFDC Product, You grant Alibaba Cloud permission to allow the Non-Alibaba Application and its provider to access Customer Data and information about your usage of the Non-Alibaba Application as appropriate for the interoperation of that Non-Alibaba Application with SFDC China Products. Subject to the limited licenses granted herein, Alibaba Cloud acquires no right, title or interest from You or its licensors under this Agreement in or to any Customer Data, Non-Alibaba Application or such program code.
4.4 您对使用反馈的许可。 您授予阿里云及其关联公司和许可方（包括Salesforce）永久、不可撤销、免版税的全球许可，允许其使用、分发、披露、提出以及在其服务中纳入任何由您针对SFDC中国产品操作或任何阿里云及其关联公司服务提供的建议、功能增强申请、推荐、更正或其他反馈。
License by You to Use Feedback. You grant to Alibaba Cloud and its affiliates and licensors, including Salesforce, a worldwide, perpetual, irrevocable, royalty-free license to use, distribute, disclose and make and incorporate into its services any suggestion, enhancement request, recommendation, correction or other feedback provided by You to the operation of SFDC China Products or any other of Alibaba Cloud’s or its affiliates’services.

Disclaimers. You agree and acknowledge that except as expressly provided herein, neither Party makes any warranty of any kind, whether express, implied, statutory or otherwise, and each Party specifically disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by applicable law.Content and beta services are provided “as is”, and as available exclusive of any warranty whatsoever.You agree and acknowledge that Salesforce makes no warranty of any kind, whether express, implied, statutory or otherwise, and specifically disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, to the maximum extent permitted by applicable law. Content is provided “as is”, and as available exclusive of any warranty whatsoever.
6. 相互补偿。
Mutual Indemnification.
6.1阿里云承担的补偿。 如果第三方声称任何SFDC中国产品侵犯或盗用其知识产权并对您提出或提起任何索赔、要求、起诉或诉讼（以下简称为“对您的索赔”），阿里云将为您辩护，并且将赔偿您因对您的索赔而最终判处的损害赔偿、律师费和其他费用，或您根据阿里云就对您的索赔书面批准的和解支付的金额，但前提如下：您必须（a）及时向阿里云发出有关对您的索赔的书面通知；（b）允许阿里云全权掌控对您的索赔的辩护与和解（但是，除非阿里云无条件免除您的所有责任，否则不得就对您的索赔进行和解）；以及（c）为阿里云提供所有合理协助，费用由阿里云承担。 如果阿里云获悉侵权或盗用索赔与SFDC中国产品相关，阿里云可自行免费为您（i）修改SFDC中国产品，使其不再被声称侵权或盗用；（ii）获得许可，使您可根据本协议继续使用SFDC中国产品；或（iii）提前30天书面通知终止您对该SFDC中国产品的订阅，并向您退还足以抵补所终止订阅的剩余期限的任何预付费用。 如出现以下情况，则上述辩护及赔偿义务不适用：（1）指控未具体说明基于SFDC中国产品提出对您的索赔；（2）因对SFDC中国产品或其任何部分的使用或对SFDC中国产品或其任何部分与非阿里云提供的软件、硬件、数据或流程的组合使用而提出对您的索赔，并且如果没有此类组合，SFDC中国产品或其使用不会侵权；（3）因不收取任何费用的订购单下的SFDC中国产品提出对您的索赔；或（4）因内容、非阿里应用程序或您违反本协议、文件或适用订购单的行为提出对您的索赔。
Indemnification by Alibaba Cloud. Alibaba Cloud will defend You against any claim, demand, suit or proceeding made or brought against You by a third-party alleging that any SFDC Product infringes or misappropriates such third-party’s intellectual property rights (hereinafter referred to as the “Claim Against You”), and will indemnify You from any damages, attorney fees and costs finally awarded against You as a result of, or for amounts paid by You under a settlement approved by Alibaba Cloud in writing of, a Claim Against You, provided You (a) promptly gives Alibaba Cloud written notice of the Claim Against You, (b) gives Alibaba Cloud sole control of the defense and settlement of the Claim Against You (except that Alibaba Cloud may not settle any Claim Against You unless it unconditionally releases You of all liability), and (c) gives Alibaba Cloud all reasonable assistance, at Alibaba Cloud’s expense. If Alibaba Cloud receives information about an infringement or misappropriation claim related to a SFDC Product, Alibaba Cloud may in its discretion and at no cost to You (i) modify SFDC China Products so that they are no longer claimed to infringe or misappropriate, (ii) obtain a license for your continued use of that SFDC Product in accordance with this Agreement, or (iii) terminate your subscriptions for that SFDC Product upon 30 days’ written notice and refund You any prepaid fees covering the remainder of the term of the terminated subscriptions. The above defense and indemnification obligations do not apply if (1) the allegation does not state with specificity that SFDC China Products are the basis of the Claim Against You; (2) a Claim Against You arises from the use or combination of SFDC China Products or any part thereof with software, hardware, data, or processes not provided by Alibaba Cloud, if SFDC China Products or use thereof would not infringe without such combination; (3) a Claim Against You arises from SFDC China Products under an Order Form for which there is no charge; or (4) a Claim Against You arises from Content, a Non-Alibaba Application or your breach of this Agreement, the Documentation or applicable Order Forms.
6.2 您承担的补偿。 如果第三方声称（a）任何客户数据或您通过SFDC中国产品对客户数据的使用、（b）您提供的非阿里应用程序或（c）您提供的非阿里应用程序与SFDC中国产品一起使用时，侵犯或盗用此第三方知识产权，或者由于（i）您以非法或违反本协议、文件或订购单的形式使用SFDC中国产品或内容，（ii）任何客户数据或您通过SFDC中国产品对客户数据的使用，或（iii）您提供的非阿里应用程序，第三方对阿里云提出或提起任何索赔、要求、起诉或诉讼（以下简称为“对阿里云的索赔”），您将为阿里云及其关联公司辩护，并赔偿阿里云因对阿里云的索赔而最终判处的损害赔偿、律师费和其他费用，或阿里云根据您就对阿里云的索赔书面批准的和解支付的金额，但前提如下：阿里云必须（a）及时向您发出有关对阿里云的索赔的书面通知；（b）允许您全权掌控对阿里云的索赔的辩护与和解（但是，除非您无条件免除阿里云的所有责任，否则不得就对阿里云的索赔进行和解）；以及（c）为您提供所有合理协助，费用由您承担。 如果因阿里云违反本协议、文件或适用订购单的行为而提出对阿里云的索赔，则上述辩护及赔偿义务不适用。
Indemnification by You. You will defend Alibaba Cloud and its affiliates against any claim, demand, suit or proceeding made or brought against Alibaba Cloud by a third-party alleging (a) that any Customer Data or your use of Customer Data with SFDC China Products, (b) a Non-Alibaba Application provided by You, or (c) the combination of a Non-Alibaba Application provided by You and used with SFDC China Products, infringes or misappropriates such third-party’s intellectual property rights, or arising from (i) your use of SFDC China Products or Content in an unlawful manner or in violation of the Agreement, the Documentation, or Order Form, (ii) any Customer Data or your use of Customer Data with SFDC China Products, or (iii) a Non-Alibaba Application provided by You (hereinafter referred to as the“Claim Against Alibaba Cloud”), and will indemnify Alibaba Cloud from any damages, attorney fees and costs finally awarded against Alibaba Cloud as a result of, or for any amounts paid by Alibaba Cloud under a settlement approved by You in writing of, a Claim Against Alibaba Cloud, provided Alibaba Cloud (a) promptly gives You written notice of the Claim Against Alibaba Cloud, (b) gives You sole control of the defense and settlement of the Claim Against Alibaba Cloud (except that You may not settle any Claim Against Alibaba Cloud unless it unconditionally releases Alibaba Cloud of all liability), and (c) gives You all reasonable assistance, at your expense. The above defense and indemnification obligations do not apply if a Claim Against Alibaba Cloud arises from Alibaba Cloud’s breach of this Agreement, the Documentation or applicable Order Forms.
6.3 排他性补救措施。 根据本协议第9.2款，对于本“相互补偿”款所述的任何第三方索赔，本款规定了补偿方对另一方的专有责任，以及被补偿方对另一方的排他性补救。
Exclusive Remedy. Subject to Section 9.2 herein, this “Mutual Indemnification” section states the indemnifying Party’s sole liability to, and the indemnified Party’s exclusive remedy against, the other Party for any third-party claim described in this section.
7. 责任限制。
Limitation of Liability.
7.1 责任限制。 在任何情况下，每一方及其关联公司因本协议引起的或与之相关的累计责任不得超出您或您的关联公司根据本协议为产生责任的SFDC中国产品自产生责任的首次事件发生起十二个月内支付的总金额。 无论是与合同还是侵权有关的诉讼，无论归责理论如何，上述限制将适用，但不会限制您和您的关联公司在本协议中的支付义务。
Limitation of Liability. In no event shall the aggregate liability of each Party together with all of its affiliates arising out of or related to this Agreement exceed the total amount paid by You and your affiliates hereunder for SFDC China Products giving rise to the liability in the twelve months preceding the first incident out of which the liability arose. The foregoing limitation will apply whether an action is in contract or tort and regardless of the theory of liability, but will not limit You and your affiliates’ payment obligations in this Agreement.
7.2 排除结果性损害与相关损害。 在任何情况下，无论是与合同还是侵权有关的诉讼，无论归责理论如何，即使某一方或其关联公司已被告知可能发生该等损害，或者某一方或其关联公司的补救措施未能达到其基本目的，任何一方及其关联公司对因本协议引起或与之相关的任何利润损失、收入、信誉损害或间接、特殊、附带、结果性、替补、业务中断或惩罚性损害概不负责。 前述免责声明不适用于法律禁止的范围。
Exclusion of Consequential and Related Damages. In no event will either Party or its affiliates have any liability arising out of or related to this Agreement for any lost profits, revenues, goodwill, or indirect, special, incidental, consequential, cover, business interruption or punitive damages, whether an action is in contract or tort and regardless of the theory of liability, even if a Party or its affiliates have been advised of the possibility of such damages or if a Party’s or its affiliates’ remedy otherwise fails of its essential purpose. The foregoing disclaimer will not apply to the extent prohibited by law.
7.3 您的排他性补救。 您同意并认可，对于任何违反或未履行本协议所含任何陈述、保证、协议、契约、条件或任何其他义务的行为，本第7条构成任意一方对另一方的唯一排他性补救。
Your Exclusive Remedy. You agree and acknowledge that this Article 7 constitutes the sole and exclusive remedy of each Party against the other with respect to any breach or non-fulfillment of any representation, warranty, agreement, covenant, condition or any other obligation contained in this Agreement.
7.4Salesforce免责。 您同意并认可，在任何情况下，无论损害如何引起，无论是合同行为还是侵权行为，无论归责理论如何，无论您是否被告知可能发生此等损害，Salesforce无需就您购买或使用SFDC中国产品引起的损害向您或任何用户承担责任，包括但不限于直接、间接、特殊、附带、惩罚性或结果性损害，或基于利润损失的损害。
No Salesforce Liability. You agree and acknowledge that in no event shall Salesforce have any liability to You or any user for any damages related to your purchase or use of SFDC China Products, including but not limited to direct, indirect, special, incidental, punitive, or consequential damages, or damages based on lost profits, however caused and, whether in contract, tort or under any other theory of liability, whether or not You have been advised of the possibility of such damages.
8. 期限与终止。
Term and Termination.
8.1协议期限。 本协议自双方签署之日起生效，一直持续到本协议下所有订阅到期或终止。
Term of Agreement. This Agreement commences on the date of signature by both parties and continues until all subscriptions hereunder have expired or have been terminated.
8.2 已购买订阅的期限。 每项订阅的期限应在适用订购单中指定。 除订购单另有规定外，否则订阅将自动延期一年，除非任意一方在相关订阅期限结束前至少30天向另一方发出书面通知（可接受电子邮件通知）。 除适用订购单明确规定外，促销或一次性定价订阅的续订将按照适用续订时有效的阿里云适用定价。 即使有任何不一致的规定，如果续订任何SFDC中国产品的订阅量或订阅时长相较于前一订阅期限有所减少，则在续订时重新定价，而不考虑前一期限的单位定价。
Term of Purchased Subscriptions. The term of each subscription shall be as specified in the applicable Order Form. Except as otherwise specified in an Order Form, subscriptions will automatically renew for additional one-year terms, unless either Party gives the other written notice (email acceptable) at least 30 days before the end of the relevant subscription term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-timepriced subscriptions will be at Alibaba Cloud’s applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume or subscription length for any SFDC China Products has decreased from the prior term will result in re-pricing at renewal without regard to the prior term’s per-unit pricing.
8.3 已购买订阅的续费。若您未在订阅期限结束前支付相应续费款项：（i）无论本协议是否仍在有效期内，阿里云将停止为您提供相应服务，并停止您对Salesforce租户（Org）的访问权限；（ii）阿里云将在订阅期限结束后30天内继续存储您的用户业务数据（如有），逾期阿里云有权删除您的Salesforce租户及其所有用户业务数据；（iii）如您在订阅期限结束后支付相应续费款项，服务得以继续进行，新的订阅期限从上一订阅期限届满的次日开始计算，阿里云将在您付款后3个工作日恢复您对Salesforce租户的访问权限，继续为您提供相应服务。
Renewal of Purchased Subscriptions. If You fail to pay the corresponding renewal fees before the end of the subscription period: (i) regardless of whether this agreement is still in effect, Alibaba Cloud will stop providing you with the corresponding SFDC China Products and stop your access rights to the SFDC China Products; (ii) Alibaba Cloud will continue to store your Customer Data (if any) within 30 days after the subscription period ends, and Alibaba Cloud has the right to delete your Customer Data after the expiration; (iii) If you pay the corresponding renewal fee after the end of the subscription period, the SFDC China Products will continue to be provisioned to you , and the new subscription period will be calculated from the day after the expiration of the previous subscription period. Alibaba Cloud will restore Your access to the applicable SFDC China Products within 3 business days after your payment, and continue to provide you with the corresponding SFDC China Products.
8.4 终止。一方可出于以下原因终止本协议：（i）提前30天就重大违约向另一方发出书面通知，且该违约在该期限内仍未解决；或（ii）另一方成为破产呈请或任何其他与破产、接管、清算或为债权人利益而转让有关的程序的主体。 在阿里云与Salesforce就阿里云向您提供SFDC中国产品达成的协议（以下简称为“基础协议”）因任何理由终止时，您同意并认可，Salesforce可以完全自行终止本协议（在该情况下，本协议应被视为已终止）。
Termination. A Party may terminate this Agreement for cause (i) upon 30 days written notice to the other Party of a material breach if such breach remains uncured at the expiration of such period, or (ii) if the other Party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors. Upon termination of the agreements between Alibaba Cloud and Salesforce pursuant to which Alibaba Cloud is providing SFDC China Products to You (hereinafter referred to as the “Underlying Agreements”) for any reason whatsoever, You agree and acknowledge that Salesforce may elect, in its sole and absolute discretion, to require the termination of this Agreement (in which case this Agreement shall be deemed to be terminated).
8.5 终止时退款或付款。 如果您根据上述“终止”款终止本协议，阿里云将在终止生效之日后向您退还足以抵补所有订购单的剩余期限的任何预付费用。 如果阿里云根据上述“终止”款终止本协议，您须在适用法律允许的范围内支付足以抵补所有订购单剩余期限的任何未支付费用。 在任何情况下，终止均不免除您向阿里云支付截至终止生效之日的订阅期限内的任何应付费用的义务。 在任何情况下，SFDC中国产品的任何终止、到期或禁用、本协议或阿里云与Salesforce的协议均不会导致Salesforce对您承担任何退款或损害责任。
Refund or Payment upon Termination. If this Agreement is terminated by You in accordance with the “Termination” section above, Alibaba Cloud will refund You any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Alibaba Cloud in accordance with the “Termination” section above, You will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve You of its obligation to pay any fees payable to Alibaba Cloud for the period prior to the effective date of termination. In no case will any termination, expiration, or suspension of SFDC China Products, this Agreement, or Alibaba Cloud’s agreement with Salesforce give rise to any liability of Salesforce to You for refunds or damages.
8.6 过渡期。 基础协议到期时，双方将继续就截至该等到期时的任何有效订购单履行各自在本协议下的义务，直至完成每个该等订购单当时的有效期限（以下简称“过渡期”）结束，前提是任何该等过渡期不得超过自相关协议届满之日起36个月。 如果您在过渡期内违反本协议，阿里云保留终止与您的客户关系的权利。 在任何情况下，该等终止不会产生任何对您的退款或损害责任。
Transition Periods.Upon expiration of the Underlying Agreements, the Parties will continue to perform their respective obligations under this Agreement with respect to any Order Forms in effect as of such expiration for the remainder of the then-current term of each such Order Form (hereinafter referred to as the “Transition Period”), provided that any such Transition Period shall not exceed 36 months from the date of expiry of the Underlying Agreement. Alibaba Cloud reserves the right to terminate the customer relationship with You that is in breach of this Agreement during the Transition Period. In no case will any such termination give rise to any liability to You for a refund or damages.
8.7 存续条款。 本协议终止或到期后，标题为“所有权与许可”、“免责声明”、“相互补偿”、“责任限制”、“终止时退款或付款”、“删除内容及非阿里应用程序”、“存续条款”以及“一般条款”的条款仍具有法律效力，并且只要阿里云仍保留客户数据，标题为“客户数据保护”的条款仍具有法律效力。
Surviving Provisions. The sections titled“Proprietary Rights and Licenses,” “Disclaimers,” “Mutual Indemnification,”“Limitation of Liability,” “Refund or Payment upon Termination,” “Removal of Content and Non-Alibaba Applications,” “Surviving Provisions” and “General Provisions”will survive any termination or expiration of this Agreement and the section titled “Protection of Customer Data” will survive any termination or expiration of this Agreement for so long as Alibaba Cloud retains possession of Customer Data.
9. 一般条款。
General Provisions.
9.1 反贪污。 任何一方均未从另一方的员工或代理人处收到或获得与本协议相关的任何非法或不当贿赂、回扣、款项、礼物或有价物。 在正常商业往来中提供的合理礼物及招待并不违反上述限制
Anti-Corruption. Neither Party has received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from an employee or agent of the other Party in connection with this Agreement. Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction.
9.2 双方关系。 双方均为独立订约人。 本协议不构成双方之间的合伙、特许经营、合资、代理、信托或雇佣关系。 各方将全权负责支付其员工的所有应得薪酬补助，以及所有雇佣相关税款
Relationship of the Parties. The Parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between the Parties.Each Party will be solely responsible for payment of all compensation owed to its employees, as well as all employment-related taxes.
9.3 Salesforce作为第三方受益人。 本协议是阿里云与您之间的协议；Salesforce并不是本协议中的一方，但无论本协议有何规定，Salesforce仅因其与本协议相关而在阿里云与您之间的本协议中是第三方受益人。 双方进一步同意并认可，Salesforce被明确授予本协议下的某些权利，并且有权根据中华人民共和国法律执行该等条款。
Salesforce as Third-Party Beneficiary. This Agreement is between Alibaba Cloud and You; Salesforce is not a party to this Agreement, however, notwithstanding anything herein, Salesforce is a third-party beneficiary to this Agreement between Alibaba Cloud and You solely as it relates to this Agreement. Both Parties further agree and acknowledge that Salesforce is expressly granted certain rights under this Agreement, and that it shall be entitled to enforce such terms in its own rights in accordance with the PRC laws.
9.4 弃权。 如果任何一方未能或延迟行使本协议下的任何权利，均不构成对该权利的放弃。
Waiver. No failure or delay by either Party in exercising any right under this Agreement will constitute a waiver of that right.
9.5 转让。 未经另一方的事先书面同意（不得无理拒绝），任何一方均不得通过法律操作或以其他方式转让本协议规定的任何权利或义务；但是，任何一方均可在向其关联公司转让本协议的全部内容（包括所有订购单），或在与合并、收购、公司重组或出售其全部或大部分资产有关的情况下进行该等转让，无须获得另一方的同意。 尽管有上述规定，但如果一方被另一方的直接竞争对手收购，将其大部分资产出售给另一方的直接竞争对手，或发生有利于另一方的直接竞争对手的控制权变更，则另一方可以发出书面通知，终止本协议。 如发生此类终止，阿里云将在终止生效之日后向您退还足以抵补所有订阅剩余期限的任何预付费用。 在遵守上述规定的前提下，本协议对双方、其各自的继承人及获准受让人均具有约束力且符合其利益。
Assignment. Neither Party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the other Party’s prior written consent (not to be unreasonably withheld); provided, however, either Party may assign this Agreement in its entirety (including all Order Forms), without the other Party’s consent to its affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.Notwithstanding the foregoing, if a Party is acquired by, sells substantially all of its assets to, or undergoes a change of control in favor of, a direct competitor of the other Party, then such other Party may terminate this Agreement upon written notice. In the event of such a termination, Alibaba Cloud will refund You any prepaid fees covering the remainder of the term of all subscriptions for the period after the effective date of such termination.Subject to the foregoing, this Agreement will bind and inure to the benefit of the Parties, their respective successors and permitted assigns.
9.6 通知方式。 除本协议另有规定外，与本协议有关的所有通知均应以书面形式发出，并将在以下时间点生效：（a）亲自送达时；（b）邮寄后第二个工作日；或（c）通过电子邮件发送之日，但除终止通知或应赔偿索赔通知（以下简称为“法律通知”）外，此类通知均应明确说明为法律通知。 您的账单相关通知将会发送至阿里云指定的相关账单联系人。 您的所有其他通知将会发送至阿里云指定的相关系统管理员。
Manner of Giving Notice. Except as otherwise specified in this Agreement, all notices related to this Agreement will be in writing and will be effective upon (a) personal delivery, (b) the second business day after mailing, or (c), except for notices of termination or an indemnifiable claim (hereinafter referred to as “Legal Notices”), which shall clearly be identifiable as Legal Notices, the day of sending by email.Billing-related notices to You will be addressed to the relevant billing contact designated by Alibaba Cloud. All other notices to You will be addressed to the relevant system administrator designated by Alibaba Cloud.
